P osition and Duties. (i) During the Employment Period, (A) the Executive's position, duties and responsibilities shall be at least commensurate in all material respects with the most significant of those held, exercised and assigned at any time during the 120-day period immediately preceding the Effective Date and (B) the Executive's services shall be performed at the location where the Executive was employed immediately preceding the Effective Date or any office or location less than 35 miles from such location; and (ii) During the Employment Period, and excluding any periods of vacation and sick leave to which the Executive is entitled, the Executive agrees to devote reasonable attention and time during normal business hours to the business and affairs of the Company and, to the extent necessary to discharge the responsibilities assigned to the Executive hereunder, to use the Executive's reasonable best efforts to perform faithfully and efficiently such responsibilities. During the Employment Period it shall not be a violation of this Agreement for the Executive to (A) serve on corporate, civic or charitable boards or committees, (B) deliver lectures, fulfill speaking engagements or teach at educational institutions, and (C) manage personal investments, so long as such activities do not significantly interfere with the performance of the Executive's responsibilities as an employee of the Company in accordance with this Agreement. It is expressly understood and agreed that to the extent that any such activities have been conducted by the Executive prior to the Effective Date, the continued conduct of such activities (or the conduct of the activities similar in nature and scope thereto) subsequent to the Effective Date shall not thereafter be deemed to interfere with the performance of the Executive's responsibilities to the Company. (b) C ompensation. (i)
P osition and Duties. During the Term, the Executive: (i) shall serve as Executive Vice President and Chief Financial Officer of the Company, with responsibilities, duties and authority customary for such position, subject to direction by the Board; (ii) shall report to the P resident and CEO; (iii) shall devote substantially all the Executive’s working time and efforts to the business and affairs of the Partnership and its subsidiaries, provided that the Executive may (1) serve on corporate, civic, charitable, industry or professional association boards or committees, subject to the Board’s prior written consent in the case of any such board or committee that relates directly or indirectly to the business of the Company or its subsidiaries (which consent shall not unreasonably be withheld), (2) deliver lectures, fulfill speaking engagements or teach at educational institutions and (3) manage his personal investments, so long as none of such activities meaningfully interferes with the performance of the Executive’s duties and responsibilities hereunder, or involves a conflict of interest with the Executive’s duties or responsibilities hereunder or a breach of the covenants contained in Section 7; and (iv) agrees to observe and comply with the Company’s rules and policies as adopted by the Company from time to time, which have been made available to the Executive.
P osition and Duties. Employee shall serve the District as “Chief Financial Officer,” or reasonably similar title. Employee shall be employed on a full-time basis with the expectation that Employee will devote her full attention to the performance of her job. Employee’s position shall be located in Salt Lake City, Utah, at the District’s main office indicated in the first paragraph of this Agreement, or at any future or other location used by the District. Employee shall be responsible for Chief Financial Officer duties as more particularly described in the Chief Financial Officer Job Description included as Exhibit A to this Agreement as well as in any District Bylaws and Policies. Employee shall carry out such additional duties as might be reasonably assigned to her from time to time by the Board of Trustees (the “Board”) or the General Manager of the District. Employee recognizes that the Job Description included as Exhibit A may reasonably be modified by the District in its discretion to reflect changed circumstances and the District’s needs, and that changes to the Job Description shall not cause the District to be in breach of this Agreement provided District is in compliance with Section 3 hereof.
