P R E M I S E S. Lessor is the owner of the real property described as 900 X. Xxxxxxx, City of Portland, County of Multnomah, State of Oregon (“Premises”), as more fully described in Exhibit A attached hereto and incorporated herein; and
P R E M I S E S. The Executive has been employed by the Corporation for a number of years and is presently serving as the chief executive officer of the Corporation. The Corporation wants to ensure that it will have the continued benefit of the services of the Executive for a substantial period of time. In order to accomplish the foregoing, the Corporation and the Executive are willing to enter into this Agreement providing for the continuation of the Executive's employment upon the terms and conditions hereinafter set forth.

P R E M I S E S. Seller is the licensee of and operates radio station KKMJ (FM), Austin, Texas, KPTY (FM), Luling, Texas, and KJCE (FM), Rollingwood, Texas, (the "Stationss"), pursuant to licenses issued by the Federal Communications Commission (the "FCC").
P R E M I S E S. Seller is the licensee of and operates radio station WWMX(FM), Baltimore, Maryland (the "Station") and pursuant to licenses issued by the Federal Communications Commission (the "FCC").
P R E M I S E S. Pledgor is a Shareholder of Microfield Group, Inc. (“Corporation”), holding shares of capital stock of Corporation, including 110,094 shares of Common Stock, represented by Cert. No. MG5085, and 68.320 shares of Series 2 Preferred Stock, represented by Cert. No. 7P3, of the Corporation.
P R E M I S E S. Sxxxxxx xxx Buyer are parties to an Asset Purchase Agreement, dated as of April 8, 1996 (the "Purchase Agreement") pursuant to which Buyer has agreed to purchase the operating assets of radio stations WHRD (AM), Huntington, West Virginia, ("WHRD"); WFXN (FM), Miltxx, Xxst Virgxxxx ("XFXN") and WMLV (FM), Ironton, Ohio ("WMLV").
P R E M I S E S. The Client hereby engages the Consultant, and the Consultant hereby accepts such engagement to perform the services described in EXHIBIT “A” attached hereto and incorporated by reference herein (the “Consulting Services”). With respect to the Consulting Services, Consultant shall perform the right of way acquisition services stipulated in THIS AGREEMENT in accordance with the EXHIBITS attached hereto, applicable sections of the North Carolina Department of Transportation's (NCDOT) Right of Way Manual, as may be amended, which are incorporated herein by reference. It is the intent of THIS AGREEMENT that the Consultant, employing qualified, competent personnel shall perform all services necessary to perform all negotiation, appraisal and relocation services required for completion of the project in accordance with the Uniform Relocation Acquisitions Policy Act of 1989 (Uniform Act), as amended, and in accordance with G.S. 136-28.1 of the General Statutes of North Carolina, as amended, and in accordance with the the requirements set forth in the NCDOT Right of Way Manual, the North Carolina Department of Transportation’s Rules and Regulations for the Use of Right of Way Consultants, the Federal Code of Regulations, and Chapter 133 of the general Statutes of North Carolina from Section 133-5 through 133-18, hereby incorporated by reference. THE CONSULTANT agrees to perform the services as set forth herein and furnish and deliver to the Client reports accompanied by all documents necessary for the settlement of claims and the recordation of deeds or necessary documents for condemnation proceedings.
