Partners and Capital. A. The persons whose names are set forth in Section 2.1.B are hereby admitted as Partners of the Partnership. Meridian shall contribute to the Partnership as its capital contribution as a Limited Partner all of Meridian's right, title and interest in and to the Project. Partners and Capital. General Partner. The name, address and Capital Commitment of the General Partner and the Affiliated Limited Partners are set forth in Schedule A hereto. The General Partner, the Affiliated Limited Partners and their respective Affiliates shall make a combined Capital Commitment in the amount of at least one percent (1%) of the Aggregate Commitments as of the Effective Date. The Capital Commitment obligation of the General Partner and the Affiliated Limited Partners may be satisfied (a) by causing a co-investment Person that is an Affiliate of the General Partner to invest with the Partnership in all Investments on the same terms as the Partnership’s investment, (b) through direct investment as a Limited Partner in the Partnership or indirectly through investment of one or more Affiliates as a Partner in the Partnership, and (c) by investing in Parallel Investment Vehicles or an Aggregator Vehicle.
