Payment of Taxes and Other Governmental Charges. (a) The Company shall pay promptly when due, and before penalty or interest accrues thereon, all taxes, assessments, whether general or special, all other governmental charges and all public or private utility charges of any kind whatsoever, foreseen or unforeseen, ordinary or extraordinary, that now or may at any time hereafter be assessed, levied or imposed against or with respect to the Collateral or any part thereof (including, without limitation, any taxes levied upon or with respect to the revenues, income or profits of the Company from the Collateral) which, if not paid, may become or be made a Lien on the Collateral or any part thereof or a charge on such revenues, income or profits. The Company shall also pay promptly when due any public or private utility charges and other charges incurred in the operation, maintenance or use of the Collateral.
Payment of Taxes and Other Governmental Charges. The Indenture Trustee shall request, and Register Owners shall provide, all appropriate tax certifications and forms necessary to enable the Issuer or its agents, to determine their duties and liabilities with respect to any taxes or other charges that they may be required to pay, deduct or withhold in respect of the Series 2004-2 Notes under any present or future law or regulation of the United States or any present or future law or regulation of any political subdivision thereof or taxing authority therein or to comply with any reporting or other requirements under any law or regulation, and to pay, deduct or withhold any such taxes or charges and remit them to the relevant taxing authorities as required under law.
Payment of Taxes and Other Governmental Charges. The SUBLESSEE shall pay, promptly when due, and before penalty or interest accrue thereon all taxes, assessments, whether general or special, all other governmental charges and all public or private utility charges of any kind whatsoever foreseen or unforeseen, ordinary or extraordinary, that now or may hereafter at any time be assessed, levied or imposed against or with respect to the PROJECT (including, without limitation, any taxes levied upon or with respect to the revenues, income or profit of the SUBLESSEE from the PROJECT) which, if not paid, may become or be made a Lien on the PROJECT SITE or the PROJECT FACILITIES, or any part thereof or a charge on such revenues, income and profits. Notwithstanding the preceding Paragraph the SUBLESSEE may, at its expense and after PRIOR WRITTEN NOTICE to the SUBLESSOR and DIRECTOR, and by appropriate proceedings diligently prosecuted, contest in good faith the validity or amount of any such taxes, assessments and other charges, and after Notice to the SUBLESSOR and the DIRECTOR may, during the period of contest, permit the items so contested to remain unpaid. However, if at any time the SUBLESSOR or DIRECTOR shall notify the SUBLESSEE that, in the opinion of Independent Counsel, by nonpayment of any such items as to any part of the PROJECT SITE or the PROJECT FACILITIES will be materially affected or the PROJECT SITE or the PROJECT FACILITIES or any part thereof will be subject to imminent loss or forfeiture, the SUBLESSEE shall promptly pay such taxes, assessments or charges. During the period when the taxes, assessments or other charges so contested remain unpaid, the SUBLESSEE shall set aside on its Books adequate reserves with respect to such taxes, assessments or charges.
Payment of Taxes and Other Governmental Charges. The Mortgagor shall pay, promptly when due and before penalty or interest accrue thereon, all taxes, assessments, whether general or special, and other governmental charges of any kind whatsoever, foreseen or unforeseen, ordinary or extraordinary, that now or may at any time hereafter be assessed or levied against or with respect to the Series 1989D Mortgaged Property or any part thereof (including, without limitation, any taxes levied upon or with respect to the revenues, income or profits of the Mortgagor from the Series 1989D Mortgaged Property) which, if not paid, may become or be made a lien on the Series 1989D Mortgaged Property, or any part thereof, or a charge on such revenues, income or profits. The Mortgagor shall deliver to the Mortgagee no later than five days after the due date of any payment required to be made pursuant to this paragraph written evidence that such payment has been made. Notwithstanding the preceding paragraph, the Mortgagor may, at its expense and after prior written notice to the Mortgagee, by appropriate proceedings diligently prosecuted, contest in good faith the validity or amount of any such taxes, assessments or other charges and during the period of contest, need not pay the items so contested. However, if at any time the Mortgagee shall deliver to the Mortgagor an opinion of Independent Counsel to the effect that by nonpayment of any such items, the lien or security interest created by this Series 1989D Mortgage as to any part of the Series 1989D Mortgaged Property will be materially affected or the Series 1989D Mortgaged Property or any part thereof will be subject to imminent loss or forfeiture, the Mortgagor shall promptly pay such taxes, assessments or charges. During the period when the taxes, assessments or other charges so contested remain unpaid, the Mortgagor shall set aside on its books adequate reserves with respect thereto.
Payment of Taxes and Other Governmental Charges. (a) The Indenture Trustee shall request, and Noteholders shall provide, all appropriate tax certifications and forms necessary to enable the Issuer or its agents, to determine their duties and liabilities with respect to any taxes or other charges that they may be required to pay, deduct or withhold in respect of the Notes under any present or future law or regulation of the United States or any present or future law or regulation of any political subdivision thereof or taxing authority therein or to comply with any reporting or other requirements under any law or regulation, and to pay, deduct or withhold any such taxes or charges and remit them to the relevant taxing authorities as required under law. Such certification shall take the form of a correct, complete and executed U.S. Internal Revenue Service Form W-8BEN, W-8ECI, W-8IMY, or W-9 (or any successors thereto), including appropriate attachments, as applicable, that identifies such Noteholder.
Payment of Taxes and Other Governmental Charges. Mortgagor shall pay promptly when due all taxes, assessments (whether general or special), and other governmental charges of any kind whatsoever, foreseen or unforeseen, ordinary or extraordinary, that now or may at any time hereafter be imposed, assessed or levied against or with respect to the Note, this Mortgage, or the Mortgaged Property or any part thereof (including, without limitation, any taxes levied upon or with respect to the revenues, income or profits of Mortgagor from the Mortgaged Property) or upon Mortgagee’s interest therein (without regard to any law heretofore or hereafter enacted imposing payment of the whole or any part thereof upon Mortgagee). Mortgagor may, at its expense, and after prior notice to Mortgagee, by appropriate proceedings, diligently prosecute, contest in good faith the validity or amount of any such taxes, assessments and other charges and, during the period of such contest, permit the items so contested to remain unpaid. However, if at any time Mortgagee shall notify Mortgagor that, in its opinion, by nonpayment of any such items the lien of the Mortgage as to any part of the Mortgaged Property will be adversely affected, Mortgagor shall promptly pay such taxes, assessments or charges. During the period when the taxes, assessments or other charges so contested remain unpaid, Mortgagor shall deposit in escrow with Mortgagee monies equal in amount to the amount of such contested taxes, assessments or charges.
Payment of Taxes and Other Governmental Charges. Seller has prepared ----------------------------------------------- accurately and in the manner required by applicable law and filed properly and timely all tax returns required to be filed by it in connection with the Assets that are due as of the Closing Date and it has timely paid in full all taxes, including any interest or penalties owing by it, in connection with the Assets, except for taxes which have not yet accrued or otherwise become due as of the Closing Date.
Payment of Taxes and Other Governmental Charges. If any tax or other governmental charge shall become payable by or on behalf of the Depositary with respect to any Receipt, the Depositary Shares evidenced by such Receipt, the Stock (or fractional interest therein) represented by such Depositary Shares or any transaction referred to in Section 4.06, such tax (including transfer, issuance or acquisition taxes, if any) or governmental charge shall be payable by the holder of such Receipt. Until such payment is made, transfer of any Receipt or any withdrawal of the Stock or money or other property, if any, represented by the Depositary Shares evidenced by such Receipt may be refused, any dividend or other distribution may be withheld and any part or all of the Stock or other property represented by the Depositary Shares evidenced by such Receipt may be sold for the account of the holder thereof (after attempting by reasonable means to notify such holder prior to such sale). Any dividend or other distribution so withheld and the proceeds of any such sale may be applied to any payment of such tax or other governmental charge, the holder of such Receipt remaining liable for any deficiency. The Depositary shall act as the withholding agent for any payments, distributions and exchanges made with respect to the Depositary Shares and Receipts, and the Stock, Common Stock or other securities or assets represented thereby (collectively, the "Securities"). The Depositary shall be responsible with respect to the Securities for the timely (i) collection and deposit of any required withholding or backup withholding tax, and (ii) filing of any information returns or other documents with federal (and other applicable) taxing authorities. In the event the Depositary is required to pay any such amounts, the Company shall reimburse the Depositary for payment thereof upon the request of the Depositary and the Depositary shall, upon the Company's request and as instructed by the Company, pursue its rights against such holder at the Company's expense.
Payment of Taxes and Other Governmental Charges. (a) The Company shall pay when due and payable any and all federal and state transfer taxes and other governmental charges which may be payable in respect of the issuance or delivery of the Right Certificates and of any certificates for Series B Shares upon the exercise of Rights.
Payment of Taxes and Other Governmental Charges. (a) The User will pay, as the same respectively become due, except as otherwise provided in the Abatement Agreement, (1) all taxes and governmental charges of any kind whatsoever that may at any time be lawfully assessed or levied against or with respect to the Project or any other property installed or brought by the User on the Project Site, including without limitation any taxes levied on or with respect to the revenues, income or profits of the Issuer from the Project and any other taxes levied upon or with respect to the Project which, if not paid, will become a lien on the Project prior to or on a parity with the lien of the Indenture or a charge on the revenues and receipts from the Project prior to or on a parity with the charge thereon and pledge or assignment thereof created and made in the Indenture and including any ad valorem taxes assessed upon the leasehold interest in the Project, and (2) all assessments and charges lawfully made by any governmental body for public improvements that may be secured by a lien on the Project, provided, that with respect to special assessments or other governmental charges that may lawfully be paid in installments over a period of years, the User shall be obligated to pay only such installments as are required to be paid during the Lease Term.
