Performance Metrics and Targets. The following are the principal metrics and targets that will be referenced in 2023 to assess GSOC’s efficiency and productivity in using the resources allocated to it.

Performance Metrics and Targets. The number of vested performance-based Restricted Stock Units will be determined by multiplying the number of performance-based Restricted Stock Units awarded under this agreement by the percentage designated below based on the Company’s achievement of the performance goals, as determined by the Plan Administrator (the Compensation Committee). Where CRA performance is between two specified levels, the percentage will be interpolated on a straight-line basis, and the number of vested performance-based Restricted Stock Units will be rounded down to the nearest whole number. It is the intention of the parties that the sole remedy for failure to perform in accordance with the provisions of the Service Level Agreement, or any dispute relating to performance goals set forth in the Service Level Agreement, will be a meeting of the parties to resolve the failure pursuant to the consultation procedure described in Sections V. B. and V.C. below. Notwithstanding the foregoing, the parties hereby acknowledge that any party’s failure (or lack thereof) to meet the provisions of the Service Level Agreement, while not in and of itself a breach of contract giving rise to contractual or other remedies, may factor into the Trust’s reasonably determined belief regarding the standard of care exercised by State Street hereunder.
