PERFORMING ORGANISATION. The Parties hereto agree that the BLOODSA Foundation NPC will be the Performing Organisation and authorises it as their agent to sign agreements in their name and on their behalf in relation to the Project. The BLOODSA Foundation NPC (hereinafter referred to as “the Performing Organisation”) is a neutral and autonomous non-profit organisation, who develops, maintain and promote best practices in Haematology patient care in Sub-Sahara Africa. Structured as a shared services hub, the Performing Organisation service Consortium Partners (hereinafter referred to individually as a “Party” and collectively as “the Parties”) in both public and private sectors. Without prejudice to its authority to contract on behalf of the Parties in relation to the Programme, the Performing Organisation agrees to take all reasonable steps in every occasion to seek and obtain the prior consent of each of the other Parties before signing agreements for the benefit of the Programme and the other Parties.

PERFORMING ORGANISATION. 7.1.1 Working Parties and its Projects BLOODSA in collaboration with the consortium partners, identify, establish, coordinate and facilitate cross functional Working Parties in Haematology to identify and support national project and programme initiatives (i.e. Hereditary Bleeding Disorders Registry, Haematopoietic Stem Cell Transplantation, Multiple Myeloma, Lymphoma, etc. ). Refer to the Working Parties Terms-of-Reference.
PERFORMING ORGANISATION. The BLOODSA Foundation NPC (hereinafter referred to as “the Performing Organisation”) is a neutral and autonomous non-profit organisation, which develops, maintains and promotes best practices in Haematology patient care in Sub-Saharan Africa. Structured as a shared services hub, the Performing Organisation will service the Consortium Partners (hereinafter referred to individually as a “Party” and collectively as “the Parties”) in both public and private sectors. As the Performing Organisation, BLOODSA may contract with external third parties, in its own name and on its own behalf, for the purposes of securing funding for projects that further the objectives of this Consortium. BLOODSA will be responsible for notifying external third parties and prospective funders that, although the contract and funds will be awarded to BLOODSA, the actual work itself will be done by one/ some/ all of the Parties to this Consortium Agreement. Prior to executing an agreement with an external third party or funder, BLOODSA must take all reasonable steps to obtain the prior written consent of each of the Parties to this Consortium Agreement who will be affected by such external third party/ funder agreement.

  • Technical and Organisational Measures (1) Before the commencement of processing, the Supplier shall document the execution of the necessary Technical and Organisational Measures, set out in advance of the awarding of the Order or Contract, specifically with regard to the detailed execution of the contract, and shall present these documented measures to the Client for inspection. Upon acceptance by the Client, the documented measures become the foundation of the contract. Insofar as the inspection/audit by the Client shows the need for amendments, such amendments shall be implemented by mutual agreement.

  • Professional Organizations During the Term, Executive shall be reimbursed by the Company for the annual dues payable for membership in professional societies associated with subject matter related to the Company's interests. New memberships for which reimbursement will be sought shall be approved by the Company in advance.

  • Immunisation 7.4.1 The parties agree in principle that responsibility for pre-exposure immunisation of employees rests with employers who should accept responsibility for safety in the workplace, advised as necessary by health officials.

  • International Organization Any international organization or wholly owned agency or instrumentality thereof. This category includes any intergovernmental organization (including a supranational organization) (1) that is comprised primarily of non-U.S. governments; (2) that has in effect a headquarters agreement with Singapore; and (3) the income of which does not inure to the benefit of private persons.

  • Preparation and Organisation of Meetings The Chairperson shall convene ordinary meetings of the Project Committee at least once every 6 (six) months and shall also convene extraordinary meetings at any time upon written request of any Member.

  • Entity If the Subscriber is a corporation, company, trust, employee benefit plan, individual retirement account, Xxxxx Plan, or other tax-exempt entity, it is authorized and qualified to become an investor in the Company and the person signing this Agreement on behalf of such entity has been duly authorized by such entity to do so.
