Permitted Processing. Institution will only Process Sponsor Personal Data for the purposes of Permitted Institution Processing or as otherwise instructed by Sponsor, including with regard to transfers of Sponsor Personal Data to a third country or an international organization, except as required to comply with an applicable legal obligation. If Institution is required by law to Process Sponsor Personal Data, Institution will notify Sponsor of that legal requirement before Processing, unless that law prohibits such notification on important grounds of public interest. Institutoin will immediately inform Sponsor if, in its opinion, an instruction from Sponsor infringes the GDPR or other European Union member state data protection provisions. For the avoidance of doubt, unless expressly included in the definition of Permitted Institution Processing or permitted by written instruction from Sponsor, Institution will not disclose Sponsor Personal Data to any other person or entity. d.
