Personnel Arrangement. Party B shall cause the senior officers and other key staff of LXHD (i.e. Management Team, as listed in Schedule C hereto) to enter into a service contract of two years (starting from the Closing Day) with the New Company prior to the Closing. Both the form and content of such service contract must be satisfactory to Party A.

Personnel Arrangement. In order to ensure stable operation of Xieheng Telecommunications, it is unanimously agreed by the Parties that they shall work together to maintain the stability of the incumbent employees. Within 90 days after execution of this Agreement, the Acquirer shall confirm the list of the employees who will not be retained. For the general managers of branches/subsidiaries and the department managers or higher level employees of the Target Company who will not be retained, the Transferor shall be responsible for their severance payment, social insurance fees, social security fees, housing provident funds, welfare fees, etc, or such amount shall be deducted from the Acquisition Consideration. However, the Xieheng Telecommunications after acquisition shall be responsible for such amount for the other employees not to be retained other than the general managers of branches/subsidiaries and the department managers or higher level employees of the Target Company.
Personnel Arrangement. Party B shall undertake to cause the chief officers and other necessary staff of Startone (i.e. Management Team, as listed in Schedule C) to execute a service contract with the New Company prior to the Completion in the form and content satisfied by Party A and with a term of two years (from the Completion Date).

Zhongxian Information will appoint the Shangzhi Yulong’s original management team to keep on conducting its management, meanwhile. Personnel Arrangement. Shenzhen Errui shall have the right to retain or terminate all or some of existing employees of Shenzhen Jiajinlong and the dismissal compensation shall be borne by Shenzhen Jiajinlong. During the term of the Management Agreement, Shenzhen Errui shall have the right to employ employees to manage the Land and the Property and absolute authority over the personnel arrangement. For employees employed for purpose of the management of the Land and the Property, Shenzhen Errui shall have the right to request Shenzhen Jiajinlong to enter into the relevant labour services agreements with such employees, with costs to be borne by Xxxxxxxx Xxxxx. For the employees that were employed by Xxxxxxxx Xxxxx, Shenzhen Jiajinlong shall provide sales and administrative training for such employees and the relevant costs shall be borne by Shenzhen Errui.

  • Transitional Arrangements 1. Subject to the provisions of paragraphs 2, 3 and 4, no Member shall be obliged to apply the provisions of this Agreement before the expiry of a general period of one year following the date of entry into force of the WTO Agreement. 2. A developing country Member is entitled to delay for a further period of four years the date of application, as defined in paragraph 1, of the provisions of this Agreement other than Articles 3, 4 and 5. 3. Any other Member which is in the process of transformation from a centrally-planned into a market, free-enterprise economy and which is undertaking structural reform of its intellectual property system and facing special problems in the preparation and implementation of intellectual property laws and regulations, may also benefit from a period of delay as foreseen in paragraph 2. 4. To the extent that a developing country Member is obliged by this Agreement to extend product patent protection to areas of technology not so protectable in its territory on the general date of application of this Agreement for that Member, as defined in paragraph 2, it may delay the application of the provisions on product patents of Section 5 of Part II to such areas of technology for an additional period of five years. 5. A Member availing itself of a transitional period under paragraphs 1, 2, 3 or 4 shall ensure that any changes in its laws, regulations and practice made during that period do not result in a lesser degree of consistency with the provisions of this Agreement.

  • Special Arrangements Fees for activities of a non-recurring nature such as reorganizations, and/or preparation of special reports will be subject to negotiation.

  • Additional Arrangements The UVMP in Košice can offer to students, within its own accommodation capacities, an accommodation in its own facilities for the respective academic year. The accommodation fee and conditions of providing the accommodation are in full competence of the UVMP.

  • Financial Arrangements The Commonwealth will provide an estimated total financial contribution to the States of up to $9.5 billion (GST exclusive) in respect of this Agreement, as set out in Part 5 – Financial Arrangements.

  • Business Arrangements Except as disclosed in the Registration Statement, the Time of Sale Disclosure Package and the Prospectus, neither the Company nor any of its subsidiaries has granted rights to develop, manufacture, produce, assemble, distribute, license, market or sell its products to any other person and is not bound by any agreement that affects the exclusive right of the Company or such subsidiary to develop, manufacture, produce, assemble, distribute, license, market or sell its products.

  • SALARY SACRIFICE ARRANGEMENTS 34.1 Employees covered by this Agreement will have access to salary sacrifice arrangements in addition to the compulsory arrangement detailed above. The requirements of any such arrangements shall ensure that: (a) Accessing a salary sacrifice arrangement is a voluntary decision to be made by the individual Employee. (b) An Employee wishing to enter into a salary sacrifice arrangement will be required to notify their Employer in writing of the intention to do so and have sought expert advice in relation to entering into such an arrangement. (c) The Employer shall meet the cost of implementing the administrative and payroll arrangements necessary for the introduction of salary sacrifice to the Employees under the Agreement. (d) The co-contribution of superannuation payments referred to herein shall be made by way of salary sacrifice arrangements.

  • SUPPLEMENTAL ARRANGEMENTS The Sub-Advisor may enter into arrangements with other persons affiliated with the Sub-Advisor or with unaffiliated third parties to better enable the Sub-Advisor to fulfill its obligations under this Agreement for the provision of certain personnel and facilities to the Sub- Advisor, subject to written notification to and approval of the Manager and, where required by applicable law, the Board of Directors of the Fund.

  • Flexible Working Arrangements In accordance with the Employment Relations Act 2000, an employee affected by family violence may request a short-term (two months or less) variation of their employment arrangements to assist the employee to deal with the effects of family violence.

  • Flexibility Arrangements 9.1 The Employer and an Employee may agree to make an individual flexibility arrangement to vary a term of the Agreement if the arrangement: (a) only varies the effect of (i) Clause 45 Parental Leave and Dad and Partner Pay (ii) Clause 42 Compassionate Leave
