POST-EMPLOYMENT RELATIONSHIP. Following the Resignation Date, Executive agrees that, at the request of the Company's Chairman of the Board or Chief Executive Officer, he will provide advice and consultation to the Company with respect to any matters mutually approved by the Executive and the Company.

POST-EMPLOYMENT RELATIONSHIP. Following the Resignation Date, Executive agrees that, subject to the approval of Executive's future Employer's and, in Executive's sole discretion based on his other obligations and commitments, at the request of the Company's Chief Executive Officer or the Board, he will provide advice and consultation to the Company with respect to a list of matters to be approved by the Executive and the Company and serving as a special advisor to the Board. If, during the year following this Agreement, the Board and Executive agree that it would be mutually beneficial, then the Board shall use its best efforts to cause Executive to be nominated or appointed as a member of the Board. In the event that Executive becomes a member of the Board, then Executive shall be entitled to the same level of compensation and benefits, including stock option grants, provided to other independent directors serving on the Company's board of directors. Executive shall be reimbursed by the Company for all expenses reasonably incurred in connection with Executive's performance of such services as an advisor and/or director.
POST-EMPLOYMENT RELATIONSHIP. Following the Resignation Date, Executive agrees that, at the request of the Company's new Chairman of the Board or its new Chief Executive Officer, he will provide advice and consultation to the Company with respect to any matters mutually approved by the Executive and the Company. In addition, nothing contained herein or in the Management Agreement or this Agreement shall prohibit Executive from acting as a consultant to Thayxx xx an Affiliate of Thayxx xxxing the Noncompete Period.
POST-EMPLOYMENT RELATIONSHIP. Following the Resignation Date, Executive agrees that, at the request of the Company's Chief Executive Officer or the Board, he will provide advice and consultation to the Company at mutually agreeable times with respect to matters listed on Exhibit A hereto and on other matters mutually approved by the Executive and the Company. In addition, nothing contained herein, including but not limited to paragraphs 1.11 and 1.12, shall prohibit Executive from acting as a consultant or making business proposals to Thayxx xx an Affiliate of Thayxx xx any matters during the Noncompete Period, or from attempting to structure business transactions involving the sale or purchase of any assets or services of the Company or its Subsidiaries, provided Executive has obtained a confidentiality agreement (on a Company approved form) from any third party with which he discusses such business transactions and approval from a senior executive of the Company to approach said third party, which will not be unreasonably withheld.

  • Employment Relationship Employment with the Company is for no specific period of time. Your employment with the Company will be “at will,” meaning that either you or the Company may terminate your employment at any time and for any reason, with or without cause. Any contrary representations that may have been made to you are superseded by this letter agreement. This is the full and complete agreement between you and the Company on this term. Although your job duties, title, compensation and benefits, as well as the Company’s personnel policies and procedures, may change from time to time, the “at will” nature of your employment may only be changed in an express written agreement signed by you and a duly authorized officer of the Company (other than you).

  • At-Will Employment Relationship Executive’s employment with the Company is at-will and not for any specified period and may be terminated at any time, with or without Cause or advance notice, by either Executive or the Company. Any change to the at-will employment relationship must be by specific, written agreement signed by Executive and an authorized representative of the Company. Nothing in this Agreement is intended to or should be construed to contradict, modify or alter this at-will relationship.

  • Termination of Employment Relationship 3.1 The Executive’s employment with the Company shall automatically terminate, and the Employment Term shall thereupon terminate:

  • No Employment Relationship Whether or not any Options are to be granted under this Plan shall be exclusively within the discretion of the Plan Administrator, and nothing contained in this Plan shall be construed as giving any person any right to participate under this Plan. The grant of an Option shall in no way constitute any form of agreement or understanding binding on the Company or any Related Company, express or implied, that the Company or any Related Company will employ or contract with an Optionee, for any length of time, nor shall it interfere in any way with the Company’s or, where applicable, a Related Company’s right to terminate Optionee’s employment at any time, which right is hereby reserved.

  • Consulting Relationship During the term of this Agreement, Consultant will provide consulting services to the Company (the “Services”). Consultant shall use Consultant’s best efforts to perform the Services such that the results are satisfactory to the Company. Any consulting relationship between the Company and Consultant, whether commenced prior to or upon the date of this Agreement, shall be referred to herein as the “Consulting Relationship”.

  • Employment Relations The Company is in compliance with all Federal, state or other applicable laws, domestic or foreign, respecting employment and employment practices, terms and conditions of employment and wages and hours, and has not and is not engaged in any unfair labor practice.

  • Not an Employment Agreement This Agreement is not an employment agreement, and no provision of this Agreement shall be construed or interpreted to create an employment relationship between you and the Company or any Affiliate or guarantee the right to remain employed by the Company or any Affiliate for any specified term.

  • Post-Agreement Employment In the event the Executive remains in the employ of the Company or any of its Affiliates following termination of this Agreement, by the expiration of the Term or otherwise, then such employment shall be at will.

  • General Relationship Executive shall be considered an employee of the Company within the meaning of all federal, state and local laws and regulations including, but not limited to, laws and regulations governing unemployment insurance, workers’ compensation, industrial accident, labor and taxes.

  • Prior Employment Agreement Effective as of the Agreement Date, this Agreement supersedes any prior employment agreement between the Employee and the Company.
