PRC Approval. All consents, approvals, licenses, permits and other authorizations of any Government Authority of the People’s Republic of China that Purchaser determines, in its reasonable discretion, are required for the consummation by Purchaser of the transactions contemplated by this Agreement shall have been obtained on terms satisfactory to Purchaser in its sole discretion, and such consents, approvals, licenses, permits and other authorizations shall be in full force and effect.

PRC Approval. The Company shall have make the necessary filing with and obtain the consent of the relevant PRC governmental agency or body, as promptly as practicable after the date hereof, but prior to the forty-fifth (45th) calendar day after the Closing Date (or, if such filing is delayed by a court or regulatory agency, in no event later than 90 calendar days after the Closing), for the execution and delivery by the Company of the Transaction Agreement, the performance by the Company of its obligations hereunder and thereunder and the consummation of the transactions contemplated hereby and thereby, including the sale, issuance and delivery of the Investor Shares to the Investor hereunder.
PRC Approval. For any payment provided herein that requires PR China approval prior to payment to Inovio, Apollo shall immediately initiate the proper approval request following the occurrence of each respective payment or milestone event, and Apollo’s obligation to make such payment shall be tolled until such necessary approval has been obtained. Upon Apollo obtaining all such necessary approvals from PR China’s governmental authorities, payment to Inovio shall promptly be remitted, which shall not be greater than three (3) PRC business days from receipt of such approval. For sake of clarity, Inovio acknowledges that for the purpose of payment, Apollo will be required to obtain PR China approvals from National Equities Exchange and Quotations, Beijing Municipal Commission of Commerce, Tax Authority and Currency Exchange Authority, including for all the payments set forth in this Section 6.

PRC Approval. Parent and Purchaser shall, as promptly following the date hereof (but in any event within seven (7) Business Days), file all documentation necessary to be filed with MOFCOM or any other Governmental Authority in connection with the PRC Approval, and Parent and Purchaser shall take all actions required by law and otherwise reasonably necessary to obtain the PRC Approval as promptly as practicable.
