Prerequisite Conditions. When there are reasonable grounds to believe that a health problem is causing performance or conduct problems of an employee, the employee shall be given an opportunity to provide medical evidence documenting the health problem affecting his/her performance or conduct and/or an opportunity to voluntarily initiate an application for disability retirement on his/her own behalf.
Prerequisite Conditions. As a condition of entering into a cooperative agreement under this section, the Secretary shall require that—
(1) the Foundation maintain the insurance described in section 284c(c)(3) of this title; and
(2) the Foundation maintain its status as an organization described in section 501(c)(3) of title 26 and exempt from taxation under sec- tion 501(a) of title 26.
Prerequisite Conditions. 2.1 The obligations of each party under this Agreement and the commencement of the Scholarship are subject to, and conditional on, the satisfaction of each of the following Prerequisite Conditions:
(a) the Student has signed an agreement with CSIRO as part of the CSIRO NGGP in relation to this Scholarship, and has returned the signed counterpart agreement to CSIRO;
(b) the Student is successfully enrolled at the University in a PhD degree program and provides satisfactory evidence of enrolment to the CRC Entity; and
(c) the CRC Entity confirms that the Student has been accepted into a placement with an Industry Partner to work on an agreed research topic.
2.2 If one or more of the Prerequisite Conditions is not satisfied within 12 months of the date of this Agreement, the parties agree that this Agreement has no further effect and each party is released from:
(a) its obligations to further perform this Agreement except those imposing obligations of confidentiality; and
(b) any liability under this Agreement, except for the enforcement of any right or claim which arises or has arisen before this Agreement terminates.
Prerequisite Conditions. 3.1 The Jumei Party's fulfillment of the closing obligation shall be conditional upon each of the following conditions ("Jumei Party Closing Prerequisites") being satisfied on or before the Completion Date or having been exempted in writing from the Purchaser:
(1) This agreement has been properly signed by the seller.
(2) The shareholders' meeting of the company has approved the transaction and the articles of association of the company for the purpose of this transaction.
(3) In addition to the seller and purchaser, other shareholders of the company have agreed to the transaction and issued written documents for giving up the right of first refusal to purchase the target equity.
(4) The Seller has obtained the approval of its internal competent authority for this transaction in accordance with the stipulations of its articles of association.
(5) The seller has the right to transfer the target equity, and no pledge or other rights burden is set on the target equity.
3.2 The seller's fulfillment of the closing obligation shall be met on or before the date of closing on each of the following conditions ("Seller Prerequisites for Closing", together with the Jumei Party Prerequisites for Closing, together with the "Prerequisites for Closing") to be satisfied on or before the Seller. Exemption is a prerequisite:
(1) This Agreement has been properly signed by each Jumei Party.
(2) In addition to the seller and the purchaser, other shareholders of the company have agreed to the transaction and issued written documents to waive the exercise of the right of first refusal to purchase the target equity.
(3) Each Jumei Party has obtained approval from its internal competent authority for this transaction in accordance with the stipulations of its respective company's articles of association.
Prerequisite Conditions. 4.1 The rights and obligations of all parties under this Agreement will be subject to the fulfillment (or waiver, if applicable) of the following prerequisite conditions ("Prerequisite Conditions"):
(a) The Listed Company has obtained the necessary approvals and/or third-party consents (including but not limited to approval by the Shareholders of the Listed Company at their Shareholders' Meeting) (if applicable);
(b) For the transactions proposed under this Agreement, the Listed Company has complied with the provisions under the Listing Rules and has adhered to all other requirements imposed by the SEHK as Prerequisite Conditions of this Agreement (if any); and
(c) The Connected Persons Group of Listed Company has obtained the corresponding approvals according to the rules and procedures they are subject to (if required).
4.2 All parties shall make their best efforts to satisfy the prerequisite conditions, however, all parties may agree in writing from time to time to waive any Prerequisite Conditions. If the aforementioned Prerequisite Conditions are not satisfied by June 30, 2025 or any other date mutually agreed in writing by all parties, any party shall have the right to immediately terminate this Agreement.
Prerequisite Conditions. 4.1. This agreement (other than 1, 2, 3, this 4 and 9 to 19, by which the parties shall immediately be bound) is subject to fulfilment of the prerequisite antecedent conditions that by no later than midnight (South African time) on 21 September 2006 -
4.1.1. the board of directors of Aspen approves the transaction contemplated in this agreement; and
4.1.2. the board of directors of Prestige approves the transaction contemplated in this agreement.
4.2. Each of the parties shall, insofar as may be applicable, use all reasonable commercial endeavours to procure the fulfilment of the prerequisite conditions.
4.3. Each of the prerequisite conditions are expressed to be for the benefit of both parties and may be waived only by unanimous written agreement between the parties at any time prior to the date for the fulfilment thereof, provided that such waiver is competent in terms of the applicable laws.
4.4. The parties shall be entitled to extend the time period for the fulfilment of any of the prerequisite conditions by written agreement prior to the expiry of any time period for fulfilment of any of the unfulfilled prerequisite condition/s, provided that such extension of time is competent in terms of the applicable laws.
4.5. If any prerequisite condition is validly waived, it shall be deemed to have been fulfilled.
4.6. If any prerequisite condition is not fulfilled for any reason other than as a result of a breach of 4.2 -
4.6.1. the whole of this agreement (other than 1, 2, 3, this 4 and 9 to 19 by which the parties shall continue to be bound) shall have no force or effect; and
4.6.2. no party shall have any claim against any other in terms of this agreement except for such claims, if any, as may arise from a breach of any provision of this agreement by which the parties remain bound.
