PRINCIPAL REPRESENTATIVES. Each Principal hereby confirms all actions that the Principal Representatives shall do or cause to be done by virtue of his appointment as the Principal Representatives of the Principal. The Principal Representatives shall act for each Principal on all of the matters set forth in this Agreement and any other Transaction Document in the manner the Principal Representatives believe to be in the best interest of each Principal and consistent with the obligations under this Agreement and any other Transaction Document, but the Principal Representatives shall not be responsible to any Principal for any Losses any Principal may suffer by the performance of the Principal Representative’s duties under this Agreement, other than Losses arising from the willful misconduct or fraud in the performance of his or her duties under this Agreement or any other Transaction Document.
