Process Implementation. (a) Process – ▇ ▇ desires to have GCS manufacture the Wafers at the Facilities using the Process which meet the Specifications. The Parties agree to work together to implement the Process in accordance with the Process responsibilities of each Party described in Appendix D, as it may be amended by mutual consent. GCS acknowledges that the implementation of the Process will require significant capital expenditures and resources on its part and GCS covenants that it will make the required capital expenditures for implementing the Process as described in Appendix D and that it currently has, and will continue to allocate during the Term of this Agreement, the financial and other resources necessary to carry out its obligations under this Agreement .
Process Implementation. 3.1 The Parties agree to an ongoing collaborative, bilateral approach rooted in a meaningful engagement process responding to the joint policy priorities as introduced in Section 2 of this Accord and further detailed in Schedule 1.   • Project Implementation Manual The Recipient, through the PCU, shall: (i) take all action required to carry out Parts 1.1, 1.3, 1.4, 2, 3.1(b), 3.2, 3.3 and 4 (ii) of the Project in accordance with the provisions and requirements set forth or referred to in the Project Implementation Manual; (ii) submit recommendations to the Association for its consideration for changes and updates of the Project Implementation Manual as they may become necessary or advisable during Project implementation in order to achieve the objective of Parts 1.1, 1.3, 1.4, 2, 3.1(b), 3.2, 3.3 and 4(ii) of the Project; and (iii) not assign, amend, abrogate or waive the Project Implementation Manual or any of its provisions without the Association’s prior agreement. Notwithstanding the foregoing, if any of the provisions of the Project Implementation Manual is inconsistent with the provisions of this Agreement, the provisions of this Agreement shall prevail and govern.

  • COOPERATION IN IMPLEMENTATION On demand of the other Spouse and without undue delay or expense, each Spouse shall execute, acknowledge, or deliver any instrument, furnish any information, or perform any other acts reasonably necessary to carry out the provisions of this Agreement. If a Spouse fails to execute any document as required by this provision, the court may appoint the court clerk or his or her authorized designee to execute the document on that ▇▇▇▇▇▇’s behalf.

  • Implementation of Agreement Each Party must promptly execute all documents and do all such acts and things as is necessary or desirable to implement and give full effect to the provisions of this Agreement.

  • Implementation Services Vendor shall provide the Implementation Services, if any, described in Exhibit A. The Services Fees for any Implementation Services shall be described in Exhibit A.
