Product and Service Liability. The Company has no Liability (and there is no Basis for any present or future action, suit, proceeding, hearing, investigation, charge, complaint, claim or demand against the Company giving rise to any Liability) arising out of any injury or damages (whether actual or alleged) to any Person or its property or its business operations or prospects as a result of the ownership, possession or use of (i) any product sold, leased or delivered by the Company or (ii) any service performed by the Company.

Product and Service Liability. The United States does not release Xxxxxxxxx from any liability for the delivery of any deficient or defective products or services, or from liability under any express or implied product or service liability warranties, or for the failure to deliver items or services due.
Product and Service Liability. 15.2.1 The products designed, manufactured, sold, distributed or used, in a clinical trial or otherwise, by the Company and the services rendered by the Company have been designed, manufactured, sold, distributed, used, in a clinical trial or otherwise, or rendered in accordance with any applicable legal and regulatory requirements, including the provisions that regulate hygiene, safety, consumer information and protection and the conduct of clinical trials.
15.2.2 The Company has not been held liable to any third party in respect of any product designed, manufactured, sold, distributed or used, in a clinical trial or otherwise, by it (based on hidden defects or otherwise), or any service rendered by it, and there is, to Genetrix’ best knowledge, no reasonable basis for any such liability.
15.2.3 There have not been any product recalls, reworks or post-sale warnings issued by the Company or by agents acting on its behalf relating to any product designed, manufactured, distributed, sold, supplied or used, in a clinical trial or otherwise, by it nor any internal investigation or consideration by Genetrix or by the Company of or decision concerning whether or not to do so.
Product and Service Liability. Seller has no knowledge of any facts which they believe could reasonably give rise to any liability arising out of any death or injury to persons or damage to property as a result of the ownership, possession, maintenance, or use of any product designed, manufactured, sold, leased, or delivered by the SAP Practice or as a result of any service provided by the SAP Practice. Seller has errors and omissions insurance coverage, subject to customary deductions and exclusions as provided in the policies made available to Purchaser, for error and omission exposure which occur prior to or on the date of Closing.
Product and Service Liability. Target has no Liability (and there is no basis for any Proceeding against Target giving rise to any Liability) arising out of any injury to individuals or property as a result of the ownership, possession, or use of any product manufactured, sold, leased or delivered by Target or any service provided by Target.

Except as would not reasonably be expected to materially and adversely affect the Business, or as otherwise described on Schedule 4.20, Seller does not have any Liability or obligations of any nature (whether known or unknown, accrued, absolute, contingent or otherwise, and whether due or to become due), whether based on strict liability, negligence, breach of warranty (express or implied), breach of contract or otherwise to any Significant Customer or Significant Supplier with respect to the Business or service rendered on or prior to the Closing Date by or on behalf of, Seller that is not otherwise fully and adequately reserved against as reflected in the Financial Documents to the extent required by GAAP.
