Product Quotes. Flextronics agrees to utilize, at a minimum, the request for quote (“RFQ”) format as agreed to between the parties to respond to Product requests for quotation or for any other pricing submittals made to Flextronics. (e.g., Product revision pricing submittals). Customer may request, and Flextronics will provide, additional cost model details. Customer utilizes a semi-annual RFQ process, which will begin five weeks prior to Customer’s fiscal quarter 1 (August 1) and fiscal quarter 3 (February 1). There will be no formal RFQ process during Customer’s fiscal quarter 2 (November 1) and fiscal quarter 4 (May 1), unless there is a significant price change during the current quarter and both parties agree in writing to such price changes. All quotations by Flextronics are considered the confidential property of Flextronics and will be treated as Flextronics Proprietary Information, to be distributed to Customer’s employees Customer on a need-to-know basis in accordance with Section 15.1 (Confidentiality) or as otherwise agreed in writing by the parties.

Product Quotes. Any quotes for third-party products or software sold through CDI (including, but not limited to servers, desktops, laptops, virus software and firewall renewals) (“Product Quotes”) are subject to the terms of this MSA. The pricing reflected in all Product Quotes will remain effective for ten business days following the date of the quote, at which time the quote will expire. If Client accept the Product Quote, CDI will deliver the products ordered consistent with the terms specified on the Product Quote. All Product Quotes are based on the specifications provided by Client, and any extra work or cost caused by any changes in those specifications will be reflected in the invoices prepared based on the Product Quotes.

  • Product Recall (a) If a recall is required by applicable Law, or if Buyer or Supplier reasonably determines that a recall is advisable because the goods may create a potential safety hazard, are not in compliance with any applicable code, standard or legal requirement, or contain a defect or non-conformance with the requirements of this Order occurring or likely to occur in multiple goods, which such defects or non-conformances are substantially similar or have substantially similar causes or effects (collectively a “Serial Defect”), the parties shall promptly communicate such facts to each other. At Buyer’s request, Supplier shall promptly develop a corrective action plan satisfactory to Buyer, which shall include all actions required to recall and/or repair the goods and any actions required by applicable Law (“Corrective Action Plan”) for Buyer’s review and approval. At Buyer’s election, Xxxxx may develop the Corrective Action Plan. In no event shall Buyer and Supplier’s failure to agree on the Corrective Action Plan delay the timely notification of a potential safety hazard, non-compliance or Serial Defect to users of the goods, cause either party to be non-compliant with applicable Law or prevent Buyer from taking reasonable actions to prevent injury or damage to persons, equipment or other property. Supplier and Buyer shall cooperate with and assist each other in any corrective actions and/or filings, if applicable.

  • Product Warranty Seller provides general warranties of fitness and general warranties that the goods are free from defects, for 1 year from acceptance of the goods, except as may otherwise be set forth in the Description/Proposal, or other attached warranty.
