Common use of Production Requirements Clause in Contracts

Production Requirements. Subject to the terms of this Agreement, Sharp shall (a) devote the necessary production capacity to fulfill the quantity and delivery date requirements set forth in each confirmed Purchase Order, and (b) use commercially reasonable efforts to make available sufficient additional production capacity, subject to overtime charges, to support all Forecasts; provided, that the parties shall cooperate in good faith to reach a mutually agreeable accommodation with respect to Sharp's available production capacity in the event that a Forecast is exceeded.

Subject to the terms of this Agreement, Sharp shall (a) devote the necessary production capacity to fulfill the quantity and delivery Delivery date requirements set forth in each confirmed Purchase Order, and (b) use commercially reasonable efforts to [***] make available sufficient additional production capacity, subject to overtime chargescharges set forth in Exhibit A, to support all Forecasts; provided, that the parties shall cooperate in good faith to reach a mutually agreeable accommodation with respect to Sharp's available production capacity in the event that a Forecast is exceeded[***].
