1. Distributed products Dagangjiu and Dagangjiu Series Products
2. Distribution area/channel The area where Party A authorizes Party B to distribute is the whole country, and the authorization period is from July 15, 2022 to July 14, 2023.
Products and distribution. (a) The Litronic Disclosure Schedule sets forth, for each Litronic Product (as defined below), the following: (i) a list of all material contracts and agreements (including without limitation all material development, trademark license, technology license, distribution or other agreements) relating to the Litronic Product (provided, however, that with respect to distribution agreements, clause (iv) shall apply); (ii) whether the Litronic Product has been developed internally (i.e., substantially entirely by employees of Litronic or any of the Litronic Subsidiaries) or externally (i.e., including substantive contributions by one or more independent contractors to Litronic or any of the Litronic Subsidiaries) and, if externally, the Litronic Disclosure Schedule sets forth the identity of the significant independent contractors and a list of the material agreements with those independent contractors; (iii) the material advances paid or payable, and the material royalties payable, to any third parties with respect to that Litronic Product; and (iv) a copy of Litronic's standard distribution agreement used with respect to that Litronic Product together with a description of the territories in which Litronic or any of the Litronic Subsidiaries have granted distribution rights with respect to that Litronic Product.
(b) The Litronic Disclosure Schedule sets forth, for each Litronic Product Under Development, the following (as of the date of this Agreement): (i) the currently scheduled public availability date without regard to the Merger (which dates Litronic believes to be reasonable); (ii) a schedule of development milestone events and any material related payments, including both milestones already achieved in the past six months and those scheduled for the future; and

(a) The BIZ Disclosure Schedule sets forth, for each BIZ Product (as defined below), the following: (i) a list of all material contracts and agreements (including without limitation all material development, trademark license, technology license, distribution or other agreements) relating to the BIZ Product (provided, however, that with respect to distribution agreements, clause (iv) shall apply); (ii) whether the BIZ Product has been developed internally (i.e., substantially entirely by employees of BIZ or BCP) or externally (i.e., including substantive contributions by one or more independent contractors to BIZ or BCP) and, if externally, the BIZ Disclosure Schedule sets forth the identity of the significant independent contractors and a list of the material agreements with those independent contractors; (iii) the material advances paid or payable, and the material royalties payable, to any third parties with respect to that BIZ Product; and (iv) a copy of BIZ's standard distribution agreement used with respect to that BIZ Product together with a description of the territories in which BIZ or BCP have granted distribution rights with respect to that BIZ Product.

Products and distribution. SCHEDULE 2.26 contains a complete list of the proprietary software products distributed or installed by DSNC (the "DSNC Published Products"). SCHEDULE 2.26(A) sets forth, for each DSNC Product, the following (to the extent not already listed on another Schedule to this Agreement): (i) a list of all contracts and agreements (including without limitation all development, trademark license, technology license, distribution or other agreements) relating to the DSNC Products; (ii) the identity of all independent contractors with whom DSNC has entered into agreement(s) calling for payment, in any single or group of related contracts, by or to DSNC in the aggregate amount of at least $25,000 since January 1, 1998, and a list of the agreements with such independent contractors; (iii) the advances paid or payable, and the royalties payable, to any third parties with respect to such DSNC Product; and (iv) a list of the third parties with distribution rights to such DSNC Product.

Schedule 5.19 contains a complete list of all of the software products (by SKU) developed, published and/or distributed by the Company which products have been commercially released (the "Published Products") and all products (by SKU) currently under development by the Company, or which the Company is contractually obligated to develop (the "Products Under Development" and collectively with the Published Products referred to as the "Products").
5.19.1 Schedule 5.19 sets forth, for each Product, a list of all contracts and agreements (including without limitation all development, trademark license, technology license, distribution or other agreements) relating to the Product.
5.19.2 Schedule 5.19 also sets forth, for each Product Under Development and as of the date of this Agreement, the following: (a) the currently scheduled final software delivery date, and (b) an estimate of percentage of completion.

The Maxis Schedules contain a complete list of the top five (5) software products (by title, determined by aggregate net sales by Maxis or any of its subsidiaries in fiscal 1997 from such title) published and/or distributed by Maxis or any of its subsidiaries (the "Maxis Published Products") and the expected top five (5) products (by title, determined by the projected net sales for such title in its first year after introduction) under development or consideration by Maxis or its subsidiaries with a scheduled ship date on or prior to December 31, 1997 (the "Maxis Products Under Development," collectively with the Maxis Published Products referred to as the "Maxis Products") (which list is correct in all material respects).
