Prohibited Sales. Distributor agrees not to, and agrees to use reasonable efforts to ensure that Distributor’s subdistributors, agents and customers do not sell or use any of the Products outside the Territory. If Distributor receives any order from a prospective purchaser whose principal place of business is located outside the Territory, Distributor shall immediately refer that order to Supplier, and Distributor shall not accept any such orders. Distributor may not deliver or tender (or cause to be delivered or tendered) any Product outside of the Territory.
Prohibited Sales. Notwithstanding anything to the contrary, the sale of liquor, beer, or other alcoholic beverages, and tobacco products, as well as any and all controlled substances, including but not limited to marijuana, is strictly prohibited on the Vendor Premises. A breach of this Section 7 shall be grounds for the immediate termination of this Agreement.
Prohibited Sales. Distributor agrees not to sell, and agrees to use reasonable efforts to ensure that Distributor’s subdistributors, agents and customers do not sell or use, any of the Products outside the Territory.
Prohibited Sales. By accepting shares of Common Stock, the Grantee agrees not to sell shares at a time when applicable laws or the Corporation’s rules prohibit a sale. This restriction shall apply as long as the Grantee is an employee, consultant or director of the Corporation or a Subsidiary. The Grantee agrees, if requested by the Corporation, to hold such shares for investment and not with a view of resale or distribution to the public, and if requested by the Corporation, the Grantee must deliver to the Corporation a written statement satisfactory to the Corporation to that effect.
Prohibited Sales. Except as expressly permitted by Licensor in writing, Licensee may not (a) market or promote or seek customers for Licensed Products outside of the Territory; (b) establish a branch, wholly owned subsidiary, distribution center or warehouse with inventories of Licensed Products outside of the Territory (other than within a country in which the Licensed Products are manufactured, for the purpose of managing that manufacturing and export); (c) sell or distribute any Licensed Products to wholesalers, jobbers, diverters, catalog vendors or any other entity that does not operate retail stores exclusively other than as expressly permitted herein or pursuant to Licensor’s written approval, and to its distributors which distribute only to U.S. military bases or to retail customers in the Territory that satisfy the criteria set forth in Paragraph 7.7 hereof; (d) sell Licensed Products directly to the public in retail stores except through outlet stores operated by Licensee or an Affiliate of Licensee; (e) sell or distribute any Licensed Products over the Internet or any other global or regional computer access network; (f) use Licensed Products as giveaways, prizes or premiums, except for promotional programs which have received the prior written approval of Licensor; or (g) sell Licensed Products to any third party or Affiliate of Licensee or any of its directors, officers, employees or any person having an equity participation in or any other affiliation to Licensee, other than to Licensee’s employees or other representatives or persons for their personal use, unless such sales to a business which is an Affiliate are on an arms length basis or for personal use. Licensor may, at Licensee’s expense, purchase any Licensed Products found in the marketplace that Licensee has sold to unapproved
Prohibited Sales. 5.2.1 Prior to the Termination Date, no Underwriter shall, directly or indirectly,
(1) make any Prohibited Sale (as defined below), or (2) offer or sell any Offer Shares to any dealer which does not agree in writing that it will not, directly or indirectly, make (a) any offer or sale of Offer Shares which, if made by such Underwriter, would be a Prohibited Sale or (b) any offer or sale of Offer Shares to any other dealer which does not so agree, or (3) offer or sell any Offer Shares to any other person who such Underwriter has reason to believe may intend, directly or indirectly, to make any offer or sale of Offer Shares which, if made by such Underwriter, would be a Prohibited Sale.
5.2.2 For the purposes of this Section 5:
Prohibited Sales. Until (a) the Note is fully paid and satisfied, and (b) [*] has no further commitment to make advances under the Note, neither Xxxxxx Xxxxxxxx nor Xxxxxxxx Xxxxxxxxx (collectively, the "Shareholders") shall entered into any transaction which would result in the sale or pledge of any Common Stock owned by the Shareholders.
Prohibited Sales. Buyer agrees that the following types of sales or transfers of NUNHEMS Watermelon/Melon Seed Products are prohibited (“Prohibited Sales”): sales or transfers are prohibited to any person who has not signed an Agreement of Additional Terms and Conditions of Sale for the current Sales Period (section 1.3). BUYER AGREES THAT IT WILL INDEMNIFY, DEFEND AND HOLD SELLERS HARMLESS FROM ANY AND ALL CLAIMS ARISING FROM PROHIBITED SALES OF NUNHEMS WATERMELON/MELON SEED PRODUCTS, WHETHER THE LEGAL THEORY FORMING THE BASIS OF SUCH CLAIM INVOLVES CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE.
Prohibited Sales. No vendor may sell alcoholic beverages, food or other controlled substances Submission of an application to vend constitutes acceptance of this agreement.
Prohibited Sales. During the Agreement Term and the Post-Agreement Period, except as expressly agreed by the Company in writing, OAI shall not (i) sell any Product for resale or for export out of the Territory; (ii) export any Product from the Territory; or (iii) sell any Product to any person, firm or company in the Territory which OAI knows or has reason to believe intends to resell or export the Product out of the Territory.
