Project Organization Structure. The Ministry of Urban Development (MOUD), through the project coordination office (PCO) established in the Department of Urban Development and Building Construction (DUDBC), will be the executing agency. MOUD has recently established the Urban Planning and Development Center (UPDC) at DUDBC for scaling up urban planning and investment. PCO is headed by a project director.

Project Organization Structure. Considering project characteristics, both parties shall coordinate closely and abide by the following project management principles during project implementation: · The parties to the project shall cooperate in dealing with the works for which they share the common objectives; · Both parties shall work together for the construction of the project; · All entities of both parties are related to the project and bear the responsibility for their respective works. · Principle of linking rights to responsibilities: if any party to the project has the right to decide on a certain event, method or judgment, it shall be responsible for any result or loss arising from such decision; · Objective-oriented principle: when any party involved in the project raises any requirement against any member or the other party, such requirement shall be limited to the aspects of the objectives. It generally does not request the other party to take specific methods or processes to attain the objectives so that the other party can achieve its objectives according to its own organization and working modes. Both parties shall understand that each party has their consistent organization and working modes and the methods to push forward relevant issues; · Principle of documenting responsibilities/duties: important responsibilities or rights shall be reported in writing to project responsible organization; · The user’s technical personnel may join corresponding team and participate in relevant technical discussions and development of application system.

  • Qualification, Organization, Subsidiaries, etc (a) Each of Parent, Merger Sub 1 and Merger Sub 2 is a legal entity duly organized, validly existing and in good standing under the Laws of the jurisdiction of its organization and has all requisite corporate or similar power and authority to own, lease and operate its properties and assets and to carry on its business as presently conducted. Parent has made available to the Company true and complete copies of the charter and bylaws (or similar organizational documents) of each Significant Subsidiary of Parent. Section 5.1(b) of the Parent Disclosure Letter sets forth a true and complete list of each Significant Subsidiary of Parent and its jurisdiction of organization. Each of the outstanding shares of capital stock or other equity securities (including partnership interests, limited liability company interests or other equity interests) of each of Parent’s Significant Subsidiaries is duly authorized, validly issued, fully paid and nonassessable and owned, directly or indirectly, by Parent or by a direct or indirect wholly owned Significant Subsidiary of Parent, free and clear of any Liens. No direct or indirect Significant Subsidiary of Parent owns any Parent Shares or Parent Equity Awards. (c) Each drilling unit owned or leased by Parent or any of its Significant Subsidiaries, which is subject to classification, is in class (or in laid up status) and free of suspension or cancellation to class, and is registered under the flag of its flag jurisdiction.

  • Organizational Existence Except as otherwise permitted by Section 3.6, each Credit Party will and will cause its Subsidiaries to at all times preserve and keep in full force and effect its organizational existence and all rights and franchises material to its business.

  • Organizational Structure The ISO will be governed by a ten (10) person unaffiliated Board of Directors, as per Article 5 herein. The day-to-day operation of the ISO will be managed by a President, who will serve as an ex-officio member of the ISO Board, in accordance with Article 5 herein.   • Amendments to Organizational Documents Parent will not, and will not permit any of its Subsidiaries to amend, modify, or grant any waiver or release under or terminate in any manner, any Organizational Documents in any manner materially adverse to, or which would impair the rights of, the Lenders.

  • Changes in Organizational Documents Each of the Loan Parties shall not amend, modify or change its certificate of incorporation (including any provisions or resolutions relating to capital stock), constitution, by-laws, certificate of limited partnership, partnership agreement, certificate of formation, limited liability company agreement or other organizational documents in any manner materially adverse to the interests of the Lenders without obtaining the prior written consent of the Required Lenders.

As of the Closing Date, there are no outstanding commitments or other obligations of the Borrower or any Subsidiary to issue, and no options, warrants or other rights of any Person other than the Borrower or any Subsidiary to acquire, any shares of any class of capital stock or other equity interests of any Material Subsidiary, except as disclosed on Schedule 3.01.
