Project Principles and Requirements. Where appropriate, each Project (and, if applicable, Project Agreement) will set out: the scope of services to be provided by each Team Member (and other participants if applicable), and its accountabilities and responsibilities; specific strategic objectives and performance measures; costs and financial matters including: budget, transfers of funds, payment terms, applicable taxes, set-offs; human resource considerations; reporting and audit compliance requirements; required third-party approvals; intellectual property rights and responsibilities; an annual evaluation to review and monitor progress, determine value and achievement of progress and desired outcomes; dispute resolution provisions if the provisions of the Framework are not to apply; term, termination, withdrawal, and expulsion from the Collaboration, and consequences thereof; including a process for return of management functions, clinical and support services, and asset distribution on termination of the Collaboration; and liability, indemnification, and insurance requirements.
