PROJECT TEAM AND ORGANIZATION. A&M Project Team A&M will make the following resources available for the provision of the Services. The A&M personnel below may be assisted by other A&M and affiliate personnel. ● Xxxx Xxxxxxx and Xxxx Xxxxxxxxx, Managing Directors, will be the Services Lead and will provide overall direction to the A&M personnel providing the Services. He/she will be the key interface between the SFUSD and A&M with respect to A&M’s execution and delivery of the Services. A&M estimates Xxxx and Xxxx will spend on average 10 hours/week for the duration of the Services. ● Xxxxxx Xxxx, a Senior Director, will serve as the Execution Lead and will provide day-to-day direction to the A&M personnel providing the Services. Xxx will also facilitate the day-to-day interaction between the SFUSD and A&M with respect to the Services. In addition, Xxx will serve as our IT lead. A&M estimates that Xxx will spend on average 45 hours/week for the duration of the Services ● Xx Xxxxxxxxx, a Senior Director will serve as the Finance & Payroll operations lead. A&M estimates that Al will spend on average 45 hours/week for the duration of the Services. ● Xxxxx Xxxxxxx, a Senior Director will serve as the HR operations lead. A&M estimates that Xxxxx will spend on average 45 hours/week for the duration of the Services. ● In addition, our team will be joined by (1) Director, (2) Managers and (2) Consultants to assist with the IT, Operations & HR project work. A&M estimates that these resources will spend on average 45 hours/week for the duration of the project. ● A&M agrees to request its personnel execute SFUSD’s standard forms for acceptable use and access to technology, documents, computers and systems provided such terms are reasonable and not inconsistent with the terms of the Agreement. If a conflict exists between SFUSD’s forms and this Agreement, then the terms of the Agreement control.

  • Project Organization A summary organization chart showing the interrelationships between Owner, Construction Contractor and Design Professional, and other supporting organizations and permitting review agencies. Detailed charts, one each for Construction Contractor and Design Professional, showing organizational elements participating in the Project shall be included.

  • Technical and Organizational Measures The following sections define SAP’s current technical and organizational measures. SAP may change these at any time without notice so long as it maintains a comparable or better level of security. Individual measures may be replaced by new measures that serve the same purpose without diminishing the security level protecting Personal Data.

  • Name and Organizational Changes (a) PSP must provide TFC with written notification of all name changes and organizational changes relating to PSP including, but not limited to, merger, acquisition, corporate reorganization, or sale no later than sixty (60) days prior to such change. PSP, in its notice, shall describe the circumstances of the name or organizational change, state its new name, provide the new Tax Identification Number, if available, and describe how the change will impact its ability to perform under the Agreement. All written notifications of organizational change must include a detailed statement specifying the change and supporting documentation evidencing continued right of Agreement or successor entity, as applicable, to maintain its status as a party to this Agreement. If the change entails personnel changes for personnel performing the responsibilities of the Agreement for PSP, PSP shall identify the new personnel and provide resumes to TFC, if resumes were originally required by the solicitation. TFC may require other information or documents related to the change and its impact on the PSP and Agreement shall supply the requested information within five (5) working days of receipt of the request.

  • Scaling Locations, Rules, and Organizations All logs from timber sold under the terms and conditions of this contract shall be: (1) scaled at a location approved in writing by STATE; (2) scaled by a third-party scaling organization with a current agreement with STATE; and (3) scaled using the Official Log Scaling and Grading Rules (as adopted by the Northwest Log Rules Advisory Group) and STATE special service scaling instructions in effect at the time the logs are scaled. Utilization scale shall be handled in accordance with the section titled, “Utilization Scale.” PURCHASER shall enter into a written agreement with a third-party scaling organization for the scaling of logs removed from the timber sale area. PURCHASER shall furnish STATE with a copy of the scaling agreement upon request. If logs are delivered when a TPSO scaler is not present, PURCHASER must provide STATE with a method to assure protection and accountability. PURCHASER shall provide STATE with remote check scaling opportunities for logs scaled under this contract. The last two loads at each delivery point shall be continuously available for checking. They shall remain available for a minimum of 48 hours unless replaced by other STATE loads. They shall be available as originally presented for scaling; i.e., if truck scaled, they shall be presented in bunks. In the event scaling is suspended for any reason, hauling operations shall be immediately suspended until approved alternate scaling services are provided, or service by the scaling organization is resumed.

  • Project Organization Chart As part of the Mini-Bid, the Authorized User may require the Contractor to develop and submit a proposed project organization chart. The project organization chart should identify all the proposed key personnel of each team component and how the team will be managed. If required, the project organization chart must include both Contractor and State staff roles as identified in the Mini-Bid.

  • DIRECTORS, OFFICERS AND ORGANIZATION LIABILITY Required (If Grantee is a Non‐Profit or if a first tier contractor or subgrantee is a Non‐Profit) Directors, Officers and Organization insurance covering the Grantee’s Organization, Directors, Officers, and Trustees actual or alleged errors, omissions, negligent, or wrongful acts, including improper governance, employment practices and financial oversight - including improper oversight and/or use of use of grant funds and donor contributions - with a combined single limit of no less than $1,000,000.00 per claim.

  • NONPROFIT ORGANIZATION(S) A university or other institution of higher education or an organization of the type described in section 501(c)(3) of the Internal Revenue Code of 1954 (26 U.S.C. 501(c)) and exempt from taxation under section 501(a) of the Internal Revenue Code (26 U.S.C. 501(a)) or any nonprofit scientific or educational organization qualified under a state nonprofit organization statute. As used herein, the term also includes government agencies.

  • Appropriate Technical and Organizational Measures SAP has implemented and will apply the technical and organizational measures set forth in Appendix 2. Customer has reviewed such measures and agrees that as to the Cloud Service selected by Customer in the Order Form the measures are appropriate taking into account the state of the art, the costs of implementation, nature, scope, context and purposes of the processing of Personal Data.

  • Professional Organizations During the Term, Executive shall be reimbursed by the Company for the annual dues payable for membership in professional societies associated with subject matter related to the Company's interests. New memberships for which reimbursement will be sought shall be approved by the Company in advance.

  • Technical and Organisational Measures (1) Before the commencement of processing, the Supplier shall document the execution of the necessary Technical and Organisational Measures, set out in advance of the awarding of the Order or Contract, specifically with regard to the detailed execution of the contract, and shall present these documented measures to the Client for inspection. Upon acceptance by the Client, the documented measures become the foundation of the contract. Insofar as the inspection/audit by the Client shows the need for amendments, such amendments shall be implemented by mutual agreement.
