Team Members. 16.2.1. There shall be no substitution for a Team Member identified in the Contractor’s Proposal without the prior written consent of the Owner. The Contractor shall provide to the Owner justification for the change to any previously submitted Team Member and obtain the Owner’s consent to the proposed substitution prior to any Work commencing by the Subcontractor. The justification for such substitution, and for any Subcontractor not identified in Contractor’s Proposal, shall include all information intended to prove that the proposed Subcontractor has the necessary facilities, skill, integrity, safety records, past experience and financial resources to perform the Work in accordance with the terms and conditions of the Contract Documents.
16.2.2. If the Owner finds, in its sole and absolute discretion, that the proposed substitute is not qualified, the Contractor will be notified in writing within five (5) Working Days of the Owner receiving the request for approval of the substitute. If no such notice is provided, the Owner shall be deemed to have accepted the substitute. The Owner may retract its acceptance of any substitute in the event such substitute evidences an unwillingness or inability to perform its portion of the Work in strict accordance with the Contract Documents. Notice of such retraction will be given in writing to the Contractor. Upon receipt of notification of such rejection or retraction, the Contractor shall, within five (5) Days, submit a new substitute for the Owner's approval. No rejection of any Subcontractor as provided herein shall be the basis of any claim by the Contractor.
Team Members. The Closure Protocol Team shall meet at least once a month between the date of the decision to non-renew, revoke, or relinquish the charter and the final dissolution of the board. Meetings shall be organized and chaired by the “team lead”. The team lead is also responsible for compiling meeting minutes and all documentation for the final closure report. Required members of this team shall include:
1. The school’s Board Chair;
2. The school’s Lead Administrator;
3. The school’s Business Manager;
4. The IPCSC Director
5. A Team Lead (appointed by the IPCSC Director); and
6. The State Department of Education’s School Choice Coordinator.
7. Additional members may be added to the closure protocol team by mutual agreement of the required members.
Team Members. Each negotiation team shall have no more than six (6) members.

While performing their tasks and exercising their powers, team members shall comply with the laws and regulations of the Republic of North Macedonia. Team members shall also comply with applicable Union and international law while performing their tasks and exercising their powers. Team members may perform tasks and exercise powers in the territory of the Republic of North Macedonia only under instructions from, and in the presence of, border management authorities of the Republic of North Macedonia. The Republic of North Macedonia may authorise team members to perform specific tasks and/or exercise specific powers on its territory in the absence of its border management authorities subject to the consent of the Agency or the home Member State, as appropriate. Team members who are statutory staff of the Agency shall wear the uniform of the European Border and Coast Guard standing corps while performing their tasks and exercising their powers unless specified otherwise in the operational plan. Team members who are not statutory staff of the Agency shall wear their national uniform while performing their tasks and exercising their powers unless specified otherwise in the operational plan. While on duty, all team members shall also wear visible personal identification and a blue xxxxxxxx with the insignias of the European Union and of the Agency on their uniforms. The Republic of North Macedonia shall authorise relevant team members to perform tasks during an operational activity that require the use of force, including the carrying and use of service weapons, ammunition and other equipment, in accordance with the relevant provisions of the operational plan. Team members who are statutory staff of the Agency may carry and use, service weapons, ammunition and other equipment subject to the consent of the Agency. Team members who are not statutory staff of the Agency may carry and use service weapons, ammunition and other equipment subject to the consent of the relevant home Member State. Team Members. 6.3.1. The LRT Consultant shall obtain the approval of the Company for each Team Members (Save for the following members who were approved within the Tender: Systems Engineer; Operations and Maintenance Expert; Rolling Stock Engineer and Track Engineer) prior to engagement thereof and in accordance with the provisions of Annex H (Team Members in the LRT Consultant).
6.3.2. Each candidate must comply and satisfy all of the following requirements:
6.3.2.1. The candidate meets the professional experience specified in Annex H (Team Members in the LRT Consultant) for the applicable discipline and/or category.
6.3.2.2. The candidate is not a resident or citizen of a state which does not have diplomatic relations with the State of Israel.
6.3.2.3. The candidate has not been convicted of an Offence and no indictment (criminal charges) with respect to an Offence has been filed (submitted) against any of such.
6.3.3. The LRT Consultant will submit to the Company a detailed request for approval with respect to each potential Team Member, together with all the information and documents with respect to each Team Member, including information demonstrating the Team Members’ compliance with the conditions set forth hereinabove and a Team Members' Undertaking Letter duly signed by the potential team members in the form attached hereto as Annex F (Letter of Undertaking) (the “Request”). The LRT Consultant will provide the Company with any additional information as may be required by the Company during the evaluation of the Request.
6.3.4. Save for those members approved within the Tender, the Request with respect to each potential team member will be submitted to the Company no later than ninety (90) days prior to the date on which such member is designated to commence the provision of the Services.
Team Members. Each Party’s executives responsible for implementing the Principles on behalf of such Party are set forth on Schedule D (each such executive, a “Team Member”). Each Party may update the list of Team Members in Schedule D from time to time upon notice to the other Party, and the Parties shall review and update Schedule D in accordance with their terms and conditions set forth in Exhibit 3. Subject to applicable Law, a portion of each Team Member’s executive bonus shall be calculated in accordance with the terms and conditions set forth in Exhibit 3 (the “Team Member Bonus Metrics”), unless otherwise agreed by the Parties. The Parties shall amend and maintain each Team Member’s executive bonus structure in accordance with the terms and conditions set forth in Exhibit 3, as applicable.
Team Members. In any negotiations described in this Article, neither party shall have any control over the selection of the negotiating or bargaining representatives from within or outside the School District. The parties mutually pledge the representatives selected by each shall be clothed with all necessary power and authority to make proposals, consider proposals, and make concessions in the course of negotiations or bargaining, subject only to such ultimate ratification.

The Board Party consisting of one (1) Superintendent and one (1) administration representative; and the Association Party consisting of the Association President, one (1) member elected from the high school faculty, one (1) member elected from the elementary school faculty, and one (1) alternate elected from the certified employees.
