Promotional Spend. For the U.S. Territory, Purdue shall support the Product with a minimum Promotional spend (including costs associated with the Sample Authorization program, but excluding any Sales Force costs and any other costs not directly associated with Promotion of a Product), as follows: (i) [***] for each of the [***] Years for Promotional spend other than DTC advertising costs; and (ii) [***] for DTC advertising costs for each of [***] after DTC advertising is allowed under Applicable Law, except to the extent DTC advertising is constrained by any Governmental Authority or industry guideline, in which case such amounts shall be used as soon as practical. For clarity, it is anticipated that Purdue will perform certain preparatory work relating to DTC advertising prior to DTC advertising being allowed under Applicable Law, and the amounts spent by Purdue on such preparatory work shall be included as DTC advertising costs for [***] period described above. Notwithstanding the foregoing, (A) in the event a Marketplace Change occurs or a Generic Product is approved and is reasonably likely to be launched within [***] of approval in the U.S. Territory, the JCC shall appropriately reduce Purdue’s minimum Promotional spend under this Section and (B) in the event a Governmental Authority in the U.S. Territory alters the existing tax treatment of Promotional spending, then Purdue shall have the right, in its discretion, to re-allocate the amounts set forth in subsection (ii) above to other Promotional activities or Detailing in support of the Product. The allocation of this Promotional spend shall be further detailed in the Marketing Plan. After the periods set forth in subsections (i) and (ii) above, Purdue shall support the Product with a Promotional spend that is consistent with the amounts budgeted in the applicable Marketing Plan. Promotional Spend. CRTX shall invest a total of [***], the “Committed Promotional Spend”) in promotion and marketing of the Products in each of the first [***], twelve (12) month periods beginning with the first calendar quarter date following the Effective Date (each period a “Promotion Year”, with the first such period including the time, if any, between the Effective Date and the first calendar quarter date following the Effective Date). Within forty-five (45) days following the end of each Promotion Year, CRTX shall provide to DCI a reasonably detailed accounting of CRTX’s promotional investment during such Promotion Year. CRTX must spend [***] in the first Promotion Year. In subsequent Promotions Years, a minimum of [***] must be spent in each Promotion Year. If in any Promotion Year, CRTX shall not have satisfied the Committed Promotional Spend requirement, then CRTX shall incur or otherwise make promotional investments in the immediately following Promotion Year in an amount equal to at least the Committed Promotional Spend for such Promotion Year plus the amount of the Committed Promotional Spend from the immediately prior Promotion Year that was not incurred or made. No breach of this subsection shall have occurred unless CRTX fails to satisfy the Committed Promotional Spend requirement for two (2) consecutive years.

  • Promotions A. A promotion is defined as moving from any teaching position to one listed on the administrative and supervisory responsibility scale. B. All vacancies in promotional positions shall be filled on the following basis: 1. Whenever a vacancy arises or is anticipated, the Superintendent shall cause a notice to be posted in each school setting forth a description of and the qualifications for the position, including duties and salary range. Promotional vacancies shall be advertised throughout the year, including summer months, on the FCPS web site. In addition, the Superintendent will post a list of such vacancies in each school, with a copy of said notice being transmitted to the Association. 2. Unless there are extenuating circumstances, such notices shall be posted fifteen (15) days prior to the filing date when applications must be submitted. If notification is less than fifteen (15) days, the Association shall be notified. 3. Teachers who decide to apply for such vacancies shall submit their applications in writing to the Superintendent or authorized representative. The time limit specified in the notice shall be adhered to unless there are extenuating circumstances. 4. When a vacancy occurs, a promotion committee may be appointed by the Superintendent consisting of five (5) professional educators who are familiar with the duties and responsibilities associated with the position to be filled. Two (2) members of the committee may be classroom teachers. The committee shall have advisory status and shall recommend to the Superintendent one (1) or more candidates. 5. Vacancies shall be filled on the basis of experience, competency and other qualifications of the applicant. Ordinarily, preference shall be given to present teachers. Inquiries may be directed to other school systems when it is deemed advisable in the best interest of the Xxxxxxxxx County school system. The successful applicant shall meet the certification requirements established by the state board of education for the position, or shall fulfill such requirements within one (1) year. 6. The availability of leadership positions in other counties shall be made known in the same manner as set forth in paragraph 1 whenever possible. C. No teachers shall be denied the opportunity to apply for selection to participate in seminars or workshops sponsored by the Board for potential administrators and supervisors.

  • Promotional Materials In the event that the Fund or the Adviser makes available any promotional materials related to the Securities or the transactions contemplated hereby intended for use only by registered broker-dealers and registered representatives thereof by means of an Internet web site or similar electronic means, the Adviser will install and maintain, or will cause to be installed and maintained, pre-qualification and password-protection or similar procedures which are reasonably designed to effectively prohibit access to such promotional materials by persons other than registered broker-dealers and registered representatives thereof.

  • Promotional Material In the event that the Fund or the Investment Adviser makes available any promotional materials related to the Securities or the transactions contemplated hereby intended for use only by registered broker-dealers and registered representatives thereof by means of an Internet web site or similar electronic means, the Investment Adviser will install and maintain or will cause to be installed and maintained, pre-qualification and password-protection or similar procedures which are reasonably designed to effectively prohibit access to such promotional materials by persons other than registered broker-dealers and registered representatives thereof.

  • Advertising and Promotional Materials The Purchaser acknowledges and agrees that the Vendor shall have the right to use drawings, photographs, videos or other depictions of the interior and/or exterior of the Dwelling and/or the Subdivision or any components or features thereof in any promotional or advertising materials without notice to or consent from the Purchaser being required in any manner whatsoever.

  • Marketing Plans Contractor and the Exchange recognize that Enrollees and other health care consumers benefit from efforts relating to outreach activities designed to increase heath awareness and encourage enrollment. The parties shall share marketing plans on an annual basis and with respect to periodic updates of material changes. The marketing plans of each of the Exchange and Contractor shall include proposed marketing approaches and channels and shall provide samples of any planned marketing materials and related collateral as well as planned, and when completed, expenses for the marketing budget. The Contractor shall include this information for both the Exchange and the outside individual market. The Exchange shall treat all marketing information provided under this Section as confidential information and the obligation of the Exchange to maintain confidentiality of this information shall survive termination or expiration of this Agreement.

  • Promotional Probation a. An employee on promotional probation may be failed at any time without right of appeal or hearing, except as provided in C.3., below, and except that failing an employee on promotional probation must not be arbitrary, capricious or unreasonable. b. An employee who fails promotional probation shall receive a performance evaluation stating the reason for failure of promotional probation. c. When an employee fails his or her promotional probation, the employee shall have the right to return to his or her former class provided the employee was not in the previous class for the purpose of training for a promotion to a higher class. When an employee is returned to his or her former class under the provisions of this Section, the employee shall serve the remainder of any uncompleted probationary period in the former class. A regular employee who accepts promotion to a limited-term position, other than at the direction of the employee's agency/department head, shall not have the right to return to his or her former class. d. If the employee's former class has been deleted or abolished, the employee shall have the right to return to a class in his or her former occupational series closest to, but no higher than, the salary range of the class which the employee occupied immediately prior to promotion and shall serve the remainder of any probationary period not completed in the former class.

  • Sales Promotions In addition to decreasing prices for the balance of the Contract term due to a change in market conditions, the Contractor may conduct sales promotions involving price reductions for a specified lesser period. The Contractor must submit documentation identifying the proposed: (1) starting and ending dates of the promotion, (2) commodities or contractual services involved, and (3) promotional prices compared to then-authorized prices.

  • Marketing Plan The MCOP shall submit an annual marketing plan to ODM including all planned activities for promoting membership in or increasing awareness of the MCOP. The marketing plan submission shall include an attestation by the MCOP that the plan is accurate and is not intended to mislead, confuse, or defraud the eligible individuals or ODM.
