Property Files. Borrower will deliver to Lender all Property Files in an electronic format reasonably agreed by Lender and Borrower.

All Property Files will be maintained in an online data room established and controlled by the Administrative Agent, and the Administrative Agent shall provide all Lenders with access thereto. Each Loan Party will and will cause their respective representatives to comply with all procedures established by the Administrative Agent from time to time for the delivery, maintenance and use of documents to such online data room. Without limitation of the foregoing, no Loan Party shall modify, alter or remove any document or information previously delivered to such online data room. The Loan Parties shall pay all costs, fees and expenses related to the establishment, maintenance and use of such online data room.

Property Files. All files relating to the general operation of the MOB Property, including all files related to Leases and Contracts, held by Seller or Xxxxxxx & Xxxx, LLC.

Seller shall make available to Buyer and Buyer's agents and representatives, upon reasonable notice and during normal business hours, all files in the possession of Seller, or in possession of Seller's property manager, if any, relating to the ownership, operation, construction, use or occupancy of the Property, or any portion of the Property, including without limitation, all current Leases, the current operating budget, building plans and specifications, surveys, all current service or maintenance contracts, all other current contracts, warranties (including construction), third party environmental or soils reports, third party seismic reports, building and occupancy permits, all current budgets, public sector notices, and tax assessments to the extent in Seller's possession or in the possession of Seller's property manager, if any. Buyer, at its expense, may make photocopies of such material relative to the Property as Buyer may determine.

Manager shall set up and maintain orderly and accurate files containing original bank statements, cancelled and voided checks, rent records, insurance policies, leases and subleases, complaints, inquiries and requests for services, correspondence, receipted bills, purchase orders, vouchers and all other material documents and papers pertaining to the Property and the operation and maintenance thereof, the same to be and at all times to remain the property of Owner, and Manager shall upon request of Owner make same available to Owner, Owner’s accountants, attorneys and other representatives and shall deliver the same to Owner or its agents on demand from Owner and immediately upon termination of this Agreement.
Property Files. Except for the removal by Seller of Proprietary Materials, the Property Documents are the files kept in the ordinary course of business to manage the Property and to prepare reports to Seller's client with respect to the Property, and Seller has not removed any documents, agreements, correspondence or other information from the Property Documents with the intent of concealing information from Buyer.

Except as provided in Section 6.2.2 -------------- below, Seller shall make available to Buyer and Buyer's agents and representatives, upon reasonable notice and during normal business hours, all books, records, files, financial records, property tax bills, and other information in the possession or control of Seller relating to the ownership, operation, advertising, construction, use or occupancy of the Property, or any portion of the Property. Seller shall furnish Buyer copies of such materials as Buyer may request. In particular but without limiting the foregoing, Seller shall make the following available to the extent that Seller has such materials in its possession or control: all structural reviews, architectural drawings and engineering, soils, seismic, geologic and architectural reports, and all financial statements and budgets for the Property for the current year to date and each of the five (5) years prior to the year of this Agreement, including the itemization of (1) annual insurance premiums for each such year for fire, extended coverage, workers' compensation, vandalism and malicious mischief, general liability, business interruption, rents and other forms of insurance shown thereon; (2) expenses incurred for water, electricity, natural gas, sewer and other utility charges; (3) total rents and revenues collected from tenants and from hotel guests and other patrons of the Property; (4) management fees; (5) maintenance, repairs and other expenses relating to the management and operation of the Property; (6) historical occupancy statistics for the Property; and (7) all capital expenditures made during the aforementioned periods. Except as to Confidential Information (as defined hereafter), Buyers' representatives shall have access to all financial and other information relating to the Property, to the extent that Seller has such materials in its possession or control, and Seller (at no cost to Seller) shall reasonably cooperate with Buyer and Buyer's independent public accountants in connection with the preparation of audited financial statements with respect to the Property.

The Loan Parties shall pay all reasonable, actual, third party, out of pocket costs, fees and expenses related to the establishment, maintenance and use of such online data room.
