Maintenance Contracts. Company shall maintain contracts with respect to the maintenance of each Financed Aircraft sufficient to insure compliance with the Federal Aviation Act, in form and substance reasonably satisfactory to Administrative Agent.

Maintenance Contracts. To the extent any ERF Retained Clients are assigned to Schlumberger, as additional consideration for the exclusive rights granted herein, Schlumberger agrees to assume the maintenance obligations for such clients (the “Maintenance Contracts”), following confirmation through due diligence that the terms and conditions of the existing ERF contracts permit assignment to Schlumberger. Following the assignment of any agreed existing client agreements from ERF, Schlumberger shall be permitted to directly invoice and retain all maintenance fees associated with the Maintenance Contracts.
Maintenance Contracts. At Tenant’s expense, Tenant shall enter into a maintenance agreement for the HVAC systems serving the Premises, with a licensed HVAC service company approved by Landlord, for the complete Term of this Lease, and if the Premises is served by overhead crane(s), private utility systems, private drainage or storm water control systems, and/or fire alarm or fire control or protection systems, whether installed by Landlord or Tenant, also a maintenance agreement with a service contractor acceptable to Landlord for the standard manufacturer suggested maintenance and repair of such systems during the entire Term of this Lease. Tenant will obtain and promptly provide to Landlord copies of the above-referenced maintenance contracts and an annual certificate of inspection with respect to any fire alarm or fire control/suppression system installed in or upon the Premises. Within five (5) business days after Landlord’s request, Tenant will provide evidence of the actual occurrence of maintenance of such systems by such contractors, in terms of certificates from the vendor showing dates of visits, services performed and work deferred or pending.
Maintenance Contracts. The Company will establish engine maintenance contracts designed, together with the partial pre-payment of eight near-term airframe D-checks, to meet the following objectives for the EETC Aircraft and Engines as of the end of each calendar month:
(i) half-time (50%) "Aggregate Maintenance Condition" for all of the Aircraft and Engines, taken as a whole and not individually, in each EETC Series; and
Maintenance Contracts. During the Sublease Term, Subtenant shall maintain, at its sole cost and expense, the HVAC Maintenance Contracts for the rooftop mounted HVAC units exclusively serving the Subleased Premises pursuant to the terms set forth in Section 14(a) of the Prime Lease. To the extent required by the Prime Lease, Subtenant shall obtain Prime Landlord’s consent prior to accessing the Building’s roof area for such maintenance. In addition, Subtenant shall maintain, at its sole cost and expense, maintenance and repair contracts with qualified contractors for any material equipment (i.e. hoods) in the Subleased Premises. Subtenant shall be responsible for the cost of any equipment it determines to replace during the Subleased Term.
Maintenance Contracts. As a part of Tenant's Required Actions, --------------------- Tenant shall, at Tenant's sole cost and expense, maintain contracts for the inspection, maintenance and service of the (i) heating, air conditioning and ventilation equipment, (ii) boiler, fired or unfired pressure vessels, (iii) fire sprinkler and/or standpipe and hose or other automatic fire extinguishing systems, including fire alarm and/or smoke detection, and (iv) electrical systems.
Maintenance Contracts. Tenant shall, at its own cost and expense, enter into regularly scheduled preventative maintenance/ service contract(s) (the "MAINTENANCE CONTRACTS") with a maintenance contractor for servicing the HVAC units servicing the Premises, the elevator servicing the Premises, the sprinkler, fire alarm and fire detection systems servicing the Premises, and backflow testing for the plumbing servicing the Premises. Tenant shall provide Landlord with copies of all service reports. The service contract must include all services suggested by the equipment manufacturer within the operation/maintenance manual and must become effective (and a copy thereof delivered to Landlord) within thirty (30) days of the date Tenant takes possession of the Premises. Within the ninety (90) day period prior to expiration of the Lease Term, or promptly following other termination of this Lease or of Tenant's right of possession, Landlord shall have the right to have any or all of such systems inspected by a qualified inspector at Landlord's expense. If, in the opinion of the inspector, the equipment has not been properly maintained, reasonable wear and tear excepted, then Landlord may authorize necessary repairs and/or replacements to be made to the system, in which case Tenant shall reimburse Landlord for any and all reasonable costs associated with such inspection and such repairs and replacements. If, at anytime during the Term of the Lease, Landlord discovers that Tenant has failed to enter into or maintain any Maintenance Contract required to be maintained by Tenant hereunder, then Landlord shall have the right, but not the obligation, to enter into such Maintenance Contract and Tenant shall reimburse Landlord for the cost of the Maintenance Contracts within ten (10) days after written demand by Landlord; provided, however, Landlord shall have the right to estimate the monthly cost of the Maintenance Contracts, and Tenant shall pay such amount to Landlord as additional rent each month at the same time Tenant pays Base Rent.
Maintenance Contracts. Borrower shall maintain or shall cause to be maintained a maintenance program with respect to the Aircraft and Spare Engines approved by the FAA.
Maintenance Contracts. Maintenance contracts are in full force and effect in respect of all assets which the Company is obliged to maintain or repair and in respect of all assets which it is necessary to have maintained by outside or specialist contractors.
