Protected Territory. So long as the Franchisee is in compliance with this Agreement, the Franchisor shall not establish or license another person or entity to establish a PAK MAIL Center within a certain geographic area as set forth in Exhibit I ("Protected Territory").
Protected Territory. We will not own, operate, lease, manage, or license anyone but you to operate a Chain Facility of the same name (Villager Lodge) in the "Protected Territory", defined in Appendix A, while this Agreement is in effect. We may own, operate, lease, manage, franchise or license anyone to operate any Chain Facility located anywhere outside the Protected Territory without any restriction or obligation to you. We may grant protected Territories for other Chain Facilities that overlap your Protected Territory. You will use any information obtained through the Reservation System to refer guests, directly or indirectly, only to Chain Facilities. This Section does not apply to any Chain Facility located in the Protected Territory on the Effective Date, which we may renew, relicense, allow to expand, or replace with a replacement Facility located within the same trading area having not more than 120% of the guest rooms of the replaced Chain Facility if its franchise with us terminated or is not renewed. The Protected Territory fairly represents the Facility's trading area, and you acknowledge that. There are no express or implied territorial rights or agreements between the parties except as stated in this Section. The covenants in this Section are mutually dependent; if you breach this Section, your Protected Territory will be the Location only.
Protected Territory. A. Subject to the terms and conditions of this Agreement and provided Franchisee is not otherwise in default of this Agreement and/or any other Agreement between Franchisor (or any parent, subsidiary or affiliate of Franchisor) and Franchisee (or any parent, subsidiary or affiliate of Franchisee), Franchisor shall not establish, nor franchise another to establish a restaurant under the Popeyes System, for the term of this Agreement, within the area described in Exhibit "C" of this Agreement (the "Protected Area"), without Franchisee's prior written consent. Notwithstanding the foregoing, Franchisor may, from time to time during the term hereof, reduce or modify the Protected Area to encompass a geographic area immediately surrounding the Franchised Unit which shall include a population (residential and/or daytime business or commercial) of no less than 50,000 people, which modification shall become effective upon written notice from Franchisor to Franchisee.
Protected Territory. WPHLI covenants that during the Term (and any renewal thereof) it will not grant any other license to use the WPHL System or to operate a League team based at any home arena situated within a radius of 25 miles from the Home Arena (the “Protected Territory”), except with the prior written consent of the Owner, which may be withheld at the Owner’s sole discretion. WPHLI reserves the right to grant further licenses to use the WPHL System and Marks in all places outside the Protected Territory.

Protected Territory. During the Term, if you are not in default, we agree not to open a Company-Owned Unit or franchise another Healthy Bites Grill Franchise within your Protected Territory. However, we reserve for ourselves the rights stated in Section 5.7, which are superior to your rights under this Agreement.

Protected Territory. During the Operating Term, neither Operator nor any Affiliate shall either own, lease, manage, license, franchise, develop or construct a Sheraton-brand hotel within the area identified in Exhibit F (the "Protected Area!') (it being agreed that the Protected Area shall include any parcels of land abutting the public right-of way along which the boundary of the Protected Area runs); provided, however, that the restriction in this Section 13.4 (the "Restriction") shall not apply to (i) any hotel or similar facility operated under the _____________________________________________________________ or "W" brand name or any other brand name other than the __________ brand name, or (iii) any hotel or similar facility continuously operated under the __________ brand name from and after the date of this Agreement/Notwithstanding the foregoing, if the Rent with respect to the Hotel payable by Owner to the Joint Venture pursuant to the Lease Agreement provides the Joint Venture with a Cash-on-Cash Return of at least 12% for any two (2) consecutive Fiscal Year period, the Restriction shall no longer apply after the end of such two (2) Fiscal Year period (the "Restriction Release"); provided, however, that if the Rent with respect to the Hotel payable by Owner to the Joint Venture pursuant to the Lease Agreement provides the Joint Venture with a Cash-on-Cash Return of less than 10% for any Fiscal Year after the Restriction Release, then the Restriction shall again become effective as of the end of such Fiscal Year (the "Restriction Restoration") (except that the Restriction shall not apply with respect to the ownership, acquisition, development, leasing, management, franchise or construction of any hotel or similar facility in the Protected Area pursuant to any binding commitment of Starwood or any of its Affiliates which was entered into in good faith after the Restriction Release and prior to the Restriction Restoration). Any Restriction Restoration in effect from time to time shall continue to be subject to a further Restriction Release, and any Restriction Release in effect from time to time shall continue to be subject to a further Restriction Restoration, on the terms set forth in this Section 13.4.
Protected Territory. WPHLI will not locate or authorize any otherparty to locate a WPHLI System home ice hockey arena within Owner's ProtectedTerritory as long as Owner is in full compliance with this Agreement. Owner's 1 Owner WPHLI "Protected Territory" is the geographic area designated in Exhibit A. Owner'sTeam shall not engage in hockey games within another owner's protected territoryexcept for scheduled games or with WPHLI's written consent. The ProtectedTerritory is not an exclusive marketing area. Owner may market and solicit salesfrom Owner's Home Arena to anywhere within the USA subject to the terms of thisAgreement. WPHLI, other System owners, arenas, or businesses may market orsolicit sales in the Protected Territory for teams based at arenas locatedoutside of the Protected Territory; and, customers in the Protected Territorymay choose to purchase from such others. As non-limiting examples, if Owner'sProtected Territory is defined to be a twenty-five mile radius from the Owner'xXxxx Arena's main entrance, then another League team's arena may be lawfullylocated anywhere as long as the other League team's arena's main entrance is notwithin a twenty-file mile radius of Owner's Home Arena's main entrance, andother League teams may lawfully sell or market tickets, goods or services, orthe like, in Owner's Protected Territory as long as the other League teams'arenas are not located within Owner's Protected Territory.
Protected Territory. During the term of this Agreement, with the exception of Your Fixed-Unit and unless otherwise excepted by Section 4.02 and 4.04(a), neither We nor Our affiliates will own, operate or franchise a competing Kiosk, Drive-Up, or Full Service Café within Your Protected Territory as designated in Attachment 1 to this Agreement. The Protected Territory designation will be added to Attachment 1 upon approval of Your Premises selection. You will have the right to service any persons residing in the Protected Territory, regardless of the method of sales, subject to Our express reservation of rights set forth in Section 4.03. Once established, the boundaries of Your Protected Territory will not be adjusted without Our written consent regardless of whether the population of Your Protected Territory increases or decreases over time.
