Ranch Operational Activities. DLL employs the use of irrigation and motorized vehicles in general Ranch operations. Although infrequent, activities associated with the construction, operation, or maintenance of irrigation equipment may result in disturbance or mortality of GSG. Similarly, ATVs and snowmobiles are used for all types of ranching, farming, wildlife, and property management activities, and may cause disturbance or mortality of GSG. The usage of ATVs for these activities is usually over existing roads and trails, but off-road usage also occurs. However, snowmobile usage in the winter may occur over any part of the Ranch. Prior to irrigation or motorized vehicle activities, individuals are educated and informed about avoidance of critical areas for GSG, when possible. Conservation measures with respect to these activities are set forth in this Agreement and in Table 2. Employees, contractors, agents, and invitees of DLL may use drones on the Ranch as an alternative to or in conjunction with other Ranch practices, such as monitoring cattle and wildlife by horseback, ATV, or snowmobile. Drones may disturb GSG during all life cycles. Use of drones will be avoided in the timeframe that spans one hour before sunset until two hours after sunrise within 0.25 miles of a lek during the breeding season (February 15 to May 31). Also, the use of drones over wintering habitat during periods of heavy snow and low temperatures will be avoided to the extent practicable. Individuals that use drones on the Ranch are educated and informed about avoidance, when possible, of GSG leks during the breeding season.

  • MANAGEMENT OF THE BUSINESS Pursuant to Section 00-00-000 of the Act, and as stated in its Articles, the Company’s day to day affairs are managed by the Member. The Member is responsible for the daily operations of the business.

  • CRIMINAL ACTIVITY If subsequent to the effectiveness of this Agreement, NYSERDA comes to know of any allegation previously unknown to it that the Contractor or any of its principals is under indictment for a felony, or has been, within five (5) years prior to submission of the Contractor’s proposal to NYSERDA, convicted of a felony, under the laws of the United States or Territory of the United States, then NYSERDA may exercise its stop work right under this Agreement. If subsequent to the effectiveness of this Agreement, NYSERDA comes to know of the fact, previously unknown to it, that Contractor or any of its principals is under such indictment or has been so convicted, then NYSERDA may exercise its right to terminate this Agreement. If the Contractor knowingly withheld information about such an indictment or conviction, NYSERDA may declare the Agreement null and void and may seek legal remedies against the Contractor and its principals. The Contractor or its principals may also be subject to penalties for any violation of law which may apply in the particular circumstances. For a Contractor which is an association, partnership, corporation, or other organization, the provisions of this paragraph apply to any such indictment or conviction of the organization itself or any of its officers, partners, or directors or members of any similar governing body, as applicable.
