RECORDALS. 3.1 The Property is registered in the name of the SELLER, and is sold subject to all the conditions and servitudes as are mentioned or referred to in the present, and all previous title deed(s) of the Property.
3.2 The Property is acquired by the PURCHASER "voetstoots", the PURCHASER declaring that they are acquainted with the nature, meaning and extent of the description "voetstoots", subject to Clause 3.3 below.
3.3 The SELLER shall not be obliged to point out pegs or beacons of the boundaries of the Property.
3.4 The signatories hereto on behalf of the Parties warrant due authority to so act herein on behalf of the Parties.
RECORDALS. The provisions of the ECT shall be applicable to this Agreement and this Agreement shall be construed in such a way as to give effect to the definitions and enable and provisions of the Act.
RECORDALS. PRASA Cres is a division of PRASA, which has been mandated to manage all the property facility services to the entire PRASA Group;
RECORDALS. The Pharmacy herewith appoints MediKredit to render the Transaction Processing Services as set out hereunder and MediKredit accept such appointment. The Pharmacy and MediKredit will be considered to be independent contractors and MediKredit is not, nor will it be deemed to be, an agent or representative of the Pharmacy under any circumstances whatsoever. MediKredit’s appointment hereunder will commence on the Commencement Date and will remain in force and effect for an indefinite period until terminated in terms of the provisions of this C2 Agreement. It is recorded that Beneficiaries may acquire Medicines and/or services rendered to Beneficiaries in accordance with the Pharmacy Act (53 of 1974) from any source whatsoever approved by Healthcare Funder and will not be limited to acquire Medicines and/or services rendered to Beneficiaries in accordance with the Pharmacy Act (53 of 1974) from the Pharmacy or any group of pharmacies.
RECORDALS. 2.1 In terms of the Khumo Gold SPV Pref Share Subscription Agreement, DRDGOLD will subscribe for cumulative participating compulsorily redeemable class B preference shares in Khumo Gold SPV, on condition, inter alia, that Khumo Gold SPV exercises its portion of the Option and applies the proceeds of the said subscription to inter alia pay its portion of the Option Price.
2.2 In addition, in terms of the Trust Loan Agreement, DRDGOLD will lend and advance to the Trust inter alia such amount as will enable the Trust to exercise its portion of the Option and pay its portion of the Option Price.
2.3 The Parties wish to record in writing their agreement in respect of the above and matters ancillary thereto.
RECORDALS. 2.1 The Pharmacy herewith appoints MediKredit to render the Claims Processing Services as set out hereunder and MediKredit accept such appointment.
2.2 The Pharmacy and MediKredit shall be considered to be independent contractors and MediKredit is not, nor shall it deemed to be, an agent or representative of the Pharmacy under any circumstances whatsoever.
2.3 MediKredit’s appointment hereunder shall commence on the Commencement Date and shall remain in force and effect for an indefinite period until terminated in terms of the provisions of this C2 Agreement.
2.4 It is recorded that Beneficiaries may acquire Medicines and/or services rendered to Beneficiaries in accordance with the Pharmacy Act 53 of 1974 from any source whatsoever approved by Medical Scheme and shall not be limited to acquire Medicines and/or services rendered to Beneficiaries in accordance with the Pharmacy Act 53 of 1974 from the Pharmacy or any group of pharmacies.
RECORDALS. In terms of the Trust Loan Agreement, DRDGOLD will lend and advance an amount of R14,128,800.00 (fourteen million one hundred and twenty eight thousand eight hundred rand) to the Trust, on condition, inter alia, that the Trust applies the proceeds of the said subscription to subscribe for inter alia the Class
RECORDALS. In conjunction with an EPV Order, there may be a need for the registration of a change in the proprietor of a patent (the recordal). Client can submit a Request for Valipat for a recordal in conjunction with an EPV Order. Client is responsible for requesting the recordal at the EPO and obtaining an EPO form 2544, the recordal process should be finalised prior to a validation. Upon confirmation of the validation, Valipat shall provide a status of the recordal process and a pro-active monitoring shall be applied until the change is performed and confirmed before the target Patent Office(s). If Client fails to provide requested documents (e.g. Power of attorneys reflecting new data) in timely manner, Valipat cannot guarantee the EPV can be completed.
RECORDALS. 2.1 DRDGOLD has agreed to subscribe for the Subscription Shares, on condition that the Company applies the proceeds of the said subscription to —
2.1.1 pay the purchase consideration payable by it pursuant to the exercise of the option to acquire from DRDGOLD 50,000,000 (fifty million) ordinary shares in the capital of DRDSA for an aggregate purchase consideration of R4,300,000.00 (four million three hundred thousand rand);
2.1.2 subscribe for the Blyvoor Class B Pref Share at a subscription price of R1,279,500.00 (one million two hundred and seventy nine thousand five hundred rand);
2.1.3 subscribe for the Crown Class B Pref Share at a subscription price of R909,500.00 (nine hundred and nine thousand five hundred rand); and
2.1.4 subscribe for the ERPM Class B Pref Share at a subscription price of R5,360,000.00 (five million three hundred and sixty thousand rand).
2.2 The Company has agreed to allot and issue to DRDGOLD, the Subscription Shares upon the terms and conditions contained in this Agreement.
2.3 The Parties wish to record in writing their agreement in respect of the above and matters ancillary thereto.
RECORDALS. 2.1 In terms of the Khumo Gold SPV Pref Share Subscription Agreement, DRDGOLD will subscribe for 11,849 (eleven thousand eight hundred and forty nine) cumulative participating compulsorily redeemable class B preference shares in Khumo Gold SPV, on condition, inter elle, that Khumo Gold SPV applies the proceeds of the said subscription to subscribe for inter alia the Class B Pref Share.
2.2 Khumo Gold SPV has agreed to subscribe for, and the Company has agreed to allot and issue to Khumo Gold SPV, the Class B Pref Share upon the terms and conditions contained in this Agreement.
2.3 The Parties wish to record in writing their agreement in respect of the above and matters ancillary thereto.
