Reflective Sheeting. Reflective Sheeting used in the fabrication of traffic control signs shall meet the requirements of the FHWA specifications FP-03 and ASTM (D 4956) or current spec modified as noted hereinafter. Sheeting will be classified by type in accordance with Federal Standard Specifications FP-03 and ASTM (D 4956) or current spec and the following: 2.2.1 TYPE IV SHEETING: Type IV is a high-intensity retroreflective sheeting to meet or exceed 3M high intensity prismatic grade 3930 or current spec, consisting of prismatic lens elements. The sheeting shall have a pre-coated equivalent or pressure sensitive adhesive and shall meet the minimum coefficients as required by ASTM D4956-09 Type IV or current spec. 2.2.2 TYPE VIII SHEETING: Type VIII sheeting is an unmetallized microprismatic retroreflective element material. Equal to or exceeds 3M fluorescent orange prismatic work zone sheeting3924S diamond grade material. Type VIII sheeting shall meet the minimum coefficients of retroreflection as required by ASTM D4956-09 Type VIII or current spec. 2.2.3 TYPE XI SHEETING: Type XI sheeting is an unmetallized microprismatic retroreflective element material meets or exceeds 0X XX0 diamond grade sheeting. Type XI sheeting shall meet the minimum coefficients of retroreflection as required by ASTM D4956-09 Type XI or current spec 2.2.4 The retroreflective sheeting (all types) shall comply with the liner removal and adhesive requirements contained in ASTM D 4956-09 sections 6.8 and 6.9.

Reflective Sheeting. Type-I and Oversize Street Name Signs reflective sheeting must be TYPE III and TYPE IX Prismatic Sheeting (respectively) or higher performance/retro-reflectivity and conform to ASTM D4956-09 Standard Specification for Retro-reflective sheeting for Traffic Control, or approved equal. Historic Street Name Signs reflective sheeting must be TYPE I reflective sheeting in 3M-3279 color or approved equivalent color with white TYPE III Prismatic Sheeting letters. The reflective sheeting shall be applied to the treated sign blank in accordance with the manufacture’s specifications. Durability of sheeting shall provide for a minimum of 10 years of useful life in the climatic conditions existing in New York under normal, vertical, exterior street sign exposure when applied in accordance with the manufacturer’s recommendations.

  • Pro Forma Balance Sheet; Financial Statements The Lenders shall have received (i) the Pro Forma Balance Sheet, (ii) audited consolidated financial statements of the Borrower and its Subsidiaries for the most recently ended fiscal year and (iii) unaudited interim consolidated financial statements of the Borrower and its Subsidiaries for each fiscal quarter ended after the date of the latest applicable financial statements delivered pursuant to clause (i) of this paragraph as to which such financial statements are available.

  • Financial Statements; No Material Adverse Change All financial statements relating to Borrower which have been or may hereafter be delivered by Borrower to Lender have been prepared in accordance with GAAP and fairly present the financial condition and the results of operation of Borrower as at the dates and for the periods set forth therein. (e) The forecasted balance sheet and statements of income and cash flows of Borrower and its Consolidated Subsidiaries delivered pursuant to Section 6.01(c) were prepared in good faith on the basis of the assumptions stated therein, which assumptions were fair in light of the conditions existing at the time of delivery of such forecasts, and represented, at the time of delivery, Borrower’s best estimate of its future financial condition and performance.

(c) Since the date of the Audited Financial Statements, there has been no event or circumstance, either individually or in the aggregate, that has had or could reasonably be expected to have a Material Adverse Effect; provided that, any determination of the existence of a Material Adverse Effect (solely, for purposes of any determination under clause (a) of the definition of Material Adverse Effect under this Section 5.05(c)) made with respect to any portion of the period commencing on the Second Amendment Effective Date through June 30, 2021, shall exclude any event or circumstance resulting from the COVID-19 pandemic to the extent such event or circumstance has been publicly disclosed by the Borrower in its securities filings or disclosed in writing by the Borrower to the Administrative Agent and the Lenders prior to the Second Amendment Effective Date, and the scope of such adverse effect is no greater than that which has been disclosed. (d) The consolidated forecasted balance sheet and statements of income and cash flows of the Borrower and its Subsidiaries delivered pursuant to Section 6.01(c) were prepared in good faith on the basis of the assumptions stated therein, which assumptions were fair in light of the conditions existing at the time of delivery of such forecasts, and represented, at the time of delivery, the Borrower’s best estimate of its future financial condition and performance. (e) Schedule 5.05 sets forth all material indebtedness and other liabilities, direct or contingent, of the Borrower and its Subsidiaries not included in such financial statements, including liabilities for taxes, material commitments and Indebtedness.

  • Consolidated Total Liabilities All liabilities of the Borrower and its Subsidiaries determined on a consolidated basis in accordance with generally accepted accounting principles and all Indebtedness of the Borrower and its Subsidiaries, whether or not so classified.

Except as disclosed in the Disclosure Documents, there has been no change, event or occurrence since December 31, 2020 that has had a Material Adverse Effect with respect to such Borrower.

  • Pro Forma Financial Information The pro forma financial statements included in the Registration Statement, the Time of Sale Disclosure Package and the Final Prospectus include assumptions that provide a reasonable basis for presenting the significant effects directly attributable to the transactions and events described therein, the related pro forma adjustments give appropriate effect to those assumptions, and the pro forma adjustments reflect the proper application of those adjustments to the historical financial statements amounts in the pro forma financial statements included in the Registration Statement, the Time of Sale Disclosure Package and the Final Prospectus. The pro forma financial statements included in the Registration Statement, the Time of Sale Disclosure Package and the Final Prospectus comply as to form in all material respects with the application requirements of Regulation S-X under the Exchange Act.
