Regulatory Milestone. In partial consideration for the rights granted to VFMCRP under this Agreement, VFMCRP shall pay the following nonrefundable, noncreditable regulatory milestone payments to Relypsa, within [***] ([***]) days after achievement of the relevant milestone for a Product by or on behalf of VFMCRP or its Affiliates or their respective permitted sublicensees, as set forth in the table below.
Regulatory Milestone. Pfizer shall make a one-time milestone payment of [***] to LianBio Development (the “Regulatory Milestone Payment”) upon and only after the First PRC Regulatory Approval (the “Regulatory Milestone Event”) to the extent that the First PRC Regulatory Approval occurs prior to the end of the Net Sales Sharing Term.
Regulatory Milestone. USD *** of Athenex stock or cash (to be mutually agreed between Hanmi and Athenex) after the approval of the first Orascovery product in Japan.
Regulatory Milestone. No later than June 30, 2016, Borrower shall have received approval from the U.S. Food and Drug Administration for the Pantheris image-guided atherectomy device for the intended use in atherectomy procedures (the “Regulatory Milestone”).
Regulatory Milestone. In partial consideration of the rights granted by Licensor to Licensee hereunder and subject to the terms and conditions set forth in this Agreement, Licensee shall pay to Licensor a milestone payment within [***] days after the achievement the following milestone, calculated as follows:
a) upon Regulatory Approval of the first Licensed Product in the United States, [***];
Regulatory Milestone. As further consideration for the rights granted to Cornerstone pursuant to Section 2.1, Cornerstone shall pay to Chiesi a non-refundable and non-creditable amount of Two Million Five Hundred Thousand U.S. Dollars ($2,500,000) in cash within thirty (30) days after the First Commercial Sale.
Regulatory Milestone. NexMed shall pay Allergan the following non-refundable, non-creditable milestone payment within ten (10) Business Days after the achievement of the Milestone Event with respect to the first Licensed Product to achieve such Milestone Event: [***] $1,500,000
Regulatory Milestone. 1. If any member of Parent Group or any Licensee thereof receives Product Approval on or before December 31, 2020 (the “Regulatory Milestone”), Parent shall pay the Company Equityholders the Regulatory Milestone Payment.
2. On or before the thirtieth (30th) day following the issuance of the Product Approval, Parent shall (i) pay to the Paying Agent or payroll provider (in the case of Optionholders with respect to their Options), who shall in turn pay to each Company Equityholder such Company Equityholder’s Fully Diluted Ownership Percentage of the cash portion of such Regulatory Milestone Payment, by wire transfer of immediately available funds, and (ii) deliver to each Accredited Equityholder a number of Parent Shares (rounded up to the nearest share) equal to (A) such Company Equityholder’s Fully Diluted Ownership Percentage of the Parent Share portion of such Regulatory Milestone Payment divided by (B) the Parent Trading Price at Date of Product Approval.
Regulatory Milestone. Teijin shall pay to Radius a milestone payment equal to [*] Dollars ($[*]) within thirty (30) days after the achievement (first occurrence) by Teijin of the [*]. Teijin shall promptly notify Radius in writing, but in no event later than fifteen (15) days after achievement of this regulatory milestone event; provided, however, that in no event shall Teijin’s failure to notify Radius of the achievement of the regulatory milestone relieve Teijin of its obligation to pay Radius the regulatory milestone payment described in this Section 6.2.1.
Regulatory Milestone. (a) In partial consideration of the rights granted by VBI to Brii Bio hereunder and subject to the terms and conditions set forth in this Agreement, Brii Bio shall pay to VBI the regulatory milestone payment set forth below after the regulatory milestone has been achieved by Brii Bio or its Affiliates: [**] in mainland China for a Licensed Product [**] The milestone payment in this Section 9.2 shall be payable only upon the first achievement of such milestone by Brii Bio or its Affiliates, and no amounts shall be due for subsequent or repeated achievements of such milestone by Brii Bio or its Affiliates, or if such milestone is achieved by a sublicensee of Brii Bio or its Affiliates, whether the same or a different Licensed Product.
(b) Brii Bio shall promptly, but in any event no later than ten (10) days following achievement of the regulatory milestone by Brii Bio or any of its Affiliates, inform VBI of such achievement. Thereafter, VBI shall promptly invoice Brii Bio for the payment set forth above with respect to such regulatory milestone, and Brii Bio shall pay such invoice within thirty (30) days of receipt.
