Regulatory Notice. Notwithstanding anything in Sections 12, 13 and 18, no assignment, amendment or modification or termination shall be effective unless such assignment, amendment modification or termination is (a) filed with the New Jersey Department of Banking and Insurance (“NJDOBI”) at least 30 days prior to the proposed effective date, (b), not disapproved by the NJDOBI, (c) made in writing and (d) signed by the parties hereto.
Regulatory Notice. Promptly provide notice that any Loan Party knows or has reason to know (A) that Dialysis Facilities have lost their qualification to participate in Government Reimbursement Programs as would have a Material Adverse Effect, (B) of an investigation described in Section 4.17(a) or (C) of any violation described in Section 4.17(b) that would have a Material Adverse Effect.
Regulatory Notice. The Borrower hereby acknowledges that pursuant to applicable regulatory requirements, the Lender is required to obtain, verify and record information that identifies the Borrower, which information includes the name and address of the Borrower and other information that will allow the Lender to identify the Borrower. The Borrower shall, and shall cause each of its Affiliates to, provide such information and take such actions as are reasonably requested by the Lender in order to assist the Lender in maintaining compliance with such applicable requirements.
Regulatory Notice. Property Owner acknowledges notice that Broker and its licensees may accept a fee or other consideration for the placement of an abstract, mortgage, loan, life, fire, theft, flood, title or other casualty or hazard insurance or home warranty arising from this transaction and expressly consents thereto as required by Board of Real Estate Brokers and Salespersons Rule 339.22321, 1997 AACS R 339.22321, as amended.
Regulatory Notice. Each of LifeCell and Distributor shall promptly but in no event more than five (5) days following the receipt thereof, notify the other party and provide to such party a copy or transcription, if available, of any materially adverse communication received from a regulatory agency relating to the Product or Processed Tissue, the marketing thereof or any related matter.
Regulatory Notice. From the date hereof until the Closing Date, the Corporation will notify the Agent of any notice or other correspondence received by the Corporation from any Governmental Authority requesting any information, meeting or hearing relating to the Corporation, the business of the Corporation, the Offering or any other event or state of affairs that the Corporation reasonably believes may be material to the Agent or the holders of Common Shares. During the period commencing on the date hereof and ending on the completion of the distribution of the Units hereunder, the Corporation will inform and provide all necessary information to the Agent, promptly after receiving notice, or obtaining knowledge of the occurrence or any threat or any announcement, of:
(i) any request of any Securities Commission for any information, meeting or hearing relating to the Corporation, the Common Shares or the Offering or any amendment to any part of the Public Record or for any material additional information; or
(ii) the issuance by any Securities Commission, the TSX or any other competent authority of any order to cease or suspend trading of any securities of the Corporation or of the institution or threat of institution of any proceedings for that purpose or any notice of investigation that could potentially result in an order to cease or suspend trading. The Corporation will use its best efforts to prevent the issuance of any such cease-trading order, and, if issued, shall forthwith take all reasonable steps in order to obtain the withdrawal thereof as soon as possible;
Regulatory Notice. Each party agrees to notify the other immediately by telephone of any action or inspection by any regulatory agency with respect to the Products covered by this Agreement, or any of the raw materials or ingredients used to manufacture Products covered by his Agreement, and shall confirm such notice promptly in writing. Supplier shall promptly deliver to Ralcorp copies of all reports pertaining to the Plants (to the extent relevant to Products produced by Supplier for Ralcorp pursuant to this Agreement) or Products resulting from an inspection of the Plant made by government organizations.
Regulatory Notice. Each Party shall give to the other Party prompt written notice of any failure, or allegation of failure by any Regulatory Authority or other Person, of the notifying Party to comply with the provisions of Applicable Laws in any manner which affects or could affect the manufacture of the Product or the performance by the notifying Party of its obligations under this Agreement. Each Party shall give the other reasonable notice of any FDA or other Regulatory Authority inspection and a representative of the noticed party shall have the [*CONFIDENTIAL TREATMENT HAS BEEN REQUESTED AS TO CERTAIN PORTIONS OF THIS DOCUMENT. EACH SUCH PORTION, WHICH HAS BEEN OMITTED HEREIN AND REPLACED WITH AN ASTERISK [***], HAS BEEN FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION.] right to observe said inspection during its conduct, to the extent permitted by the FDA or such other Regulatory Authority. Each Party shall also provide to the other Party, and cause each supplier or packager of Product materials or components to provide to the other Party, by telefax within [***] of the receipt thereof, a copy of all FDA 483 observations and all FDA notices and correspondence relating to the Product or the facilities in which the Product or any materials or components thereof are manufactured, processed, packaged or stored, and to promptly provide the other Party with a draft of any response thereto proposed to be made by the notifying Party and to incorporate any reasonable suggestions made by the other Party with respect thereto.
Regulatory Notice. A notice delivered pursuant to Section 15.4. Rules. The American Arbitration Association rules described in Section 20.1.
Regulatory Notice promptly upon receipt thereof, copies of all material notices and other documents received or given by Issuer regarding its’ registration at MEM, AMM, or any other applicable regulator, or any termination of Issuer’s registration at any Governmental Authority, or any material action, dispute, claim, proceeding, judgment, resolution or notice regarding the same;
