Rehearsal Rest Periods. ‌ (a) Reasonable rest periods shall be provided during rehearsals. (b) For rehearsals without the Orchestra, a rest period of no less than five (5) minutes for each half hour of scheduled rehearsal time shall be provided in either of the following prescribed manners: (i) two (2) rest periods, the first commencing at approximately one-third, and the second commencing at approximately two- thirds through the scheduled rehearsal period; (ii) one (1) rest period commencing no later than the midpoint of the scheduled rehearsal period. (c) In no event, except for conductor piano rehearsals, shall more than sixty (60) minutes (sixty-five (65) minutes in a two and one-half (2.5) hour rehearsal) elapse without a rest period. (d) In conductor piano rehearsals, in no event shall more than seventy-five (75) minutes elapse without a rest period of at least fifteen (15) minutes.‌ (e) All consecutive rehearsal time in such rehearsals after the permitted time prior to the break as specified in Sections (b), (c) and (d), above, shall be treated as overtime and paid to Regular and Supplementary Members at one and one-half (1.5) times the Chorister’s regular hourly rate in fifteen (15) minute increments until the break is taken. This compensation shall be in addition to any other additional compensation owed the Chorister under other provisions of this Agreement. (f) For rehearsals with the Orchestra, Members of the Chorus shall be entitled to the same rest periods as Orchestra Members. (g) A clock that is synchronized with the stage clock will be provided in all Chorus rehearsal rooms. The clock shall be situated so that all Choristers can see it.‌ (h) The length of a break will be announced at the beginning of such break, and an announcement shall be made when there are two minutes left before the end of the break.

Break periods may be combined, but no portion of a rehearsal shall exceed ninety (90) consecutive minutes without a break. (c) A sixty (60) minute break must be granted after three (3) hours of rehearsal. (d) All consecutive rehearsal time after the designated time for the break as specified in Sections (b) and (c), above, shall be treated as overtime and paid at one and one-half (1.5) times the Dancer’s regular rehearsal rate in one-quarter hour increments until the break is taken.

  • Force Majeure If by reason of Force Majeure, either party hereto shall be rendered unable wholly or in part to carry out its obligations under this Agreement through no fault of its own then such party shall give notice and full particulars of Force Majeure in writing to the other party within a reasonable time after occurrence of the event or cause relied upon. Upon delivering such notice, the obligation of the affected party, so far as it is affected by such Force Majeure as described, shall be suspended during the continuance of the inability then claimed but for no longer period, and such party shall endeavor to remove or overcome such inability with all reasonable dispatch. In the event that Vendor’s obligations are suspended by reason of Force Majeure, all TIPS Sales accepted prior to the Force Majeure event shall be the legal responsibility of Vendor and the terms of the TIPS Sale Supplemental Agreement shall control Vendor’s failure to fulfill for a Force Majeure event.

  • Term The term of this Agreement will be ten (10) years from the Effective Date (as such term may be extended pursuant to Section 4.2, the “Term”).

  • Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of New York.

  • Definitions For purposes of this Agreement:

  • Termination In the event that either Party seeks to terminate this DPA, they may do so by mutual written consent so long as the Service Agreement has lapsed or has been terminated. Either party may terminate this DPA and any service agreement or contract if the other party breaches any terms of this DPA.

  • Insurance The Company and the Subsidiaries are insured by insurers of recognized financial responsibility against such losses and risks and in such amounts as are prudent and customary in the businesses in which the Company and the Subsidiaries are engaged, including, but not limited to, directors and officers insurance coverage. Neither the Company nor any Subsidiary has any reason to believe that it will not be able to renew its existing insurance coverage as and when such coverage expires or to obtain similar coverage from similar insurers as may be necessary to continue its business without a significant increase in cost.

  • Indemnification Notwithstanding any contrary provision contained in this Agreement, any election hereunder or any termination of this Agreement, and whether or not this Agreement is otherwise carried out, the provisions of Section 5 shall not be in any way affected by such election or termination or failure to carry out the terms of this Agreement or any part hereof.

  • Notices Any notice, request or other document required or permitted to be given or delivered to the Holder by the Company shall be delivered in accordance with the notice provisions of the Purchase Agreement.

  • IN WITNESS WHEREOF the parties hereto have executed this Agreement as of the date first above written.

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
