Reimbursement of Costs of Assistance. 1. Unless an agreement concerning the financial arrangements governing actions of the Parties to deal with oil pollution incidents has been concluded on a bilateral or multilateral basis prior to an oil pollution incident, the Parties shall bear the costs of their respective actions in dealing with pollution in accordance with subparagraph (a) or subparagraph (b). The principles laid down in this paragraph apply unless the Parties concerned otherwise agree in any individual case. a. If the action was taken by one Party at the express request of another Party, the requesting Party shall reimburse to the assisting Party the cost of its action. The requesting Party may cancel its request at any time, but in that case it shall bear the costs already incurred or committed by the assisting Party. b. If the action was taken by a Party on its own initiative, this Party shall bear the costs of its action. 2. Unless otherwise agreed, the costs of action taken by a Party at the request of another Party shall be fairly calculated according to the law and current practice of the assisting Party concerning the reimbursement of such costs. 3. The assisting Party shall be prepared to provide upon request documentation and information to the requesting Party on the assisting Party’s estimated costs for the assistance and on the assisting Party’s actual costs following the provision of any assistance. The Party requesting assistance and the assisting Party shall, where appropriate, cooperate in concluding any action in response to a compensation claim. 4. The provisions of this Agreement shall not be interpreted as in any way prejudicing the rights of Parties to recover from third parties the costs of actions to deal with pollution or the threat of pollution under other applicable rules of national and international law. Special attention shall be paid to international instruments and national law on liability and compensation for oil pollution damage.
Reimbursement of Costs of Assistance. 4.1. Pursuant to the Marine Liability Act, costs incurred by the CCG to monitor or respond to marine pollution incidents are recoverable either from the polluter or from national and international compensation regimes. This ability to recover costs from the polluter forms the basis of the “polluter pay” principle. 4.2. During an emergency, any operational field monitoring and/or surveillance or active response services provided by CCG at the request of the Board, will be on a cost recovery basis. All fees or charges are not to exceed the cost of providing the services or products. Costs incurred include, but are not limited to, hourly rate for any vessels, fuel costs, related crew expenses, travel costs, per diems and overtime (as incurred). 4.3. Other reasonable expenses that may be mutually agreed upon will be billed as incurred.
Reimbursement of Costs of Assistance. During a Spill, any operational field monitoring and/or surveillance or active response services provided by CCG at the request of the C-NLOPB will be on a cost recovery basis. All costs and expenses are not to exceed the costs and expenses incurred by CCG.

To that end, they shall give due consideration to existing legal regimes. Where the action thus concluded does not permit full compensation for expenses incurred in the assistance operation, the Party requesting assistance may ask the assisting Party to waive reimbursement of the expenses exceeding the sums compensated or to reduce the costs which have been calculated in accordance with paragraph (e). It may also request a postponement of the reimbursement of such costs. In considering such a request, assisting Parties shall give due consideration to the needs of the developing countries; and (g) The provisions of this Protocol shall not be interpreted as in any way prejudicing the rights of Parties to recover from third parties the costs of actions to deal with pollution or the threat of pollution under other applicable provisions and rules of national and international law. Special attention shall be paid to relevant International Maritime Organization liability and compensation agreements.

  • Reimbursement of Costs and Expenses Seller shall have paid, or reimbursed Purchaser for, all reasonable and documented out-of-pocket expenses, including but not limited to reasonable legal fees of outside counsel and reasonable and due diligence fees, actually incurred by Purchaser in connection with the development, preparation and execution of this Agreement, the other Transaction Documents and any other documents prepared in connection herewith or therewith.

The Borrower further agrees to pay, and to save the Agents, the Documentation Agent, the Arranger, the Issuer and the Lenders harmless from all liability for, any stamp or other similar taxes which may be payable in connection with the execution or delivery of this Agreement, the Credit Extensions made hereunder or the issuance of the Notes or Letters of Credit or any other Loan Documents. The Borrower also agrees to reimburse each Agent, the Documentation Agent, the Arranger, the Issuer and each Lender upon demand for all reasonable out-of-pocket expenses (including reasonable attorneys' fees and legal expenses) incurred by such Agent, the Documentation Agent, the Arranger, the Issuer or such Lender in connection with (x) the negotiation of any restructuring or "work-out", whether or not consummated, of any Obligations and (y) the enforcement of any Obligations.
