Except as set forth on Schedule 3.24, no Employee, officer, Shareholder or member of the Board of Directors of the Company, any member of his or her immediate family or any of their respective Affiliates (“Related Persons”) (i) is involved in any business arrangement or other relationship with the Buyer (whether written or oral), (ii) owns any property or right, tangible or intangible, that is used by the Buyer, (iii) to the knowledge of the Company, has any claim or cause of action against the Buyer or (iv) to the knowledge of the Company, owns any direct or indirect interest of any kind in, or controls or is a director, officer, employee or partner of, or consultant to, or lender to or borrower from, or has the right to participate in the profits of, any person which is a competitor, supplier, customer, landlord, tenant, creditor or debtor of the Acquirer.

Related Party Disclosure. Seller represents that it is a "related party" to Buyer, as that term is defined by the United States Securities and Exchange Commission, and that Buyer is required to make certain public reporting disclosures associated with this transaction.
Related Party Disclosure. To the Company’s knowledge, no transaction has occurred between or among the Company, on the one hand, and any of the Company’s officers, directors or five percent or greater stockholders or any affiliate or affiliates of any such officer, director or five percent or greater stockholders that is required to be described that is not so described in the Registration Statement or the Prospectus.
