Relationship to Master Agreement. This Agreement is governed by and subject to the terms and conditions of the Master Agreement, which is incorporated herein by reference. In the event of any conflict between this Agreement and the Master Agreement, the relevant provision of the Master Agreement will prevail unless this Agreement expressly states the provisions of the Master Agreement that it is intended to supersede.
Relationship to Master Agreement. ExED is entering into this SC Agreement as a result of its relationship with Client, as set forth in the Master Agreement. The parties intend to respect the legal separation of Client and each Related Client, and the separate existence of each Related Client, while also administering business affairs in an efficient manner. During the term hereof neither Related Client will have employees or staff. The parties agree that ExED may rely on instructions from the Client Administrator under the Master Agreement, with the understanding and expectation that the Client is the Manager, and such person has obtained such approvals as may be required.
Relationship to Master Agreement. A. It is understood by the Parties to this Agreement that this is the Master Agreement and that only a local agreement may be negotiated at the local level. The Master Agreement is governing and nothing may be included in the local supplemental agreement which is in conflict with the Master Agreement. The rights clauses apply to all supplemental agreements negotiated.
B. It is understood that the purpose of local supplemental agreements is for coverage of matters specifically applicable to the respective Field Office. Each local agreement may include matters for which local bargaining is indicated in Section 2C. below and the following: Negotiation of the above subjects will be for the purpose of clarifying and defining such subject with respect to administration of the Master Agreement to the local conditions.
C. Except as provided by this Article, matters will not be included in the negotiation of local agreements other than the timing and duration of rest breaks, hours of work and overtime, local changes in personnel policies and practices, and other matters affecting conditions of employment.
Relationship to Master Agreement. Purchaser and Producer agree that the terms and conditions of the Master Agreement are incorporated herein as if fully set forth herein. Each of Producer and Purchaser agrees to be bound by all of the terms and conditions of the Master Agreement applicable to (a) a Producer or Purchaser, respectively, in the Master Agreement, including the covenants, agreements, representations and warranties set forth in the 1 December 31, 2020 in the case of U.S. supply of saline and related codes. 2 2025 initial termination date applicable only to manufacturing and supply from Baxalta to Baxter for biosurgery products and from Baxter to Baxalta for Flexbumin products.
Relationship to Master Agreement. This Instrument is delivered pursuant to and is subject to all of the terms and conditions of the Master Agreement. In the event of any inconsistency between this Instrument and the Master Agreement, the provisions of the Master Agreement will prevail. The provisions of the Master Agreement survive the execution and delivery of this Instrument.
Relationship to Master Agreement. 3DR shall provide the applicable support services described herein notwithstanding the provisions of Section 9 of the Master Agreement.
Relationship to Master Agreement. This Note is issued pursuant to the Master Loan and Security Agreement dated as of April 3, 2006 (the “Master Agreement”), and all terms and conditions contained therein are incorporated herein by reference. Capitalized terms used herein without definition shall have the meaning given them in the Master Agreement. Maker reaffirms all terms, conditions, representations and warranties contained in the Master Agreement except as they may be modified hereby.
Relationship to Master Agreement. 1.1 This Agreement is governed by and subject to the terms and conditions of the Amended and Restated Master Commercial Agreement dated October 30, 2024, by and among Glencore, Li-Cycle and the Sellers (the “Master Agreement”), which is incorporated herein by reference. In the event of any conflict between this Agreement and the Master Agreement, the relevant provision of the Master Agreement will prevail, unless this Agreement expressly states the provisions of the Master Agreement that it is intended to supersede. This Agreement is intended by the Parties to be a Commercial Agreement within the meaning of the Master Agreement.
Relationship to Master Agreement. Each Program Agreement shall be governed by this Master Agreement, and this Master Agreement shall be deemed incorporated into each Program Agreement. In case of a conflict between this Master Agreement and any Program Agreement, the conflicting term or condition of this Master Agreement shall control.
Relationship to Master Agreement. For purposes of clarification, the terms of this Exhibit F are hereby incorporated into the Master Technology License Agreement. MPS’s obligations under this Exhibit F shall be deemed obligations under the Master Technology License Agreement, and any breach by MIPS of this Exhibit F shall be deemed a breach by MIPS of the Master Technology License Agreement. Licensee desires to license from MIPS and MIPS is willing to license to Licensee the intellectual property associated with the MIPS Architecture described below subject to the terms and conditions of the Master Technology License Agreement for MIPS Architecture and MIPS Cores between MIPS and Licensee made to be effective as of December 30, 2003 (the “Agreement” or “Master Agreement”) and this MIPS Technology Schedule (the “Technology Schedule”) to be effective as of December 30, 2003 (the “Schedule Effective Date”). All of the terms and conditions of the Master Agreement are incorporated herein and shall apply to this Technology Schedule. Unless otherwise indicated, all capitalized terms shall have the meanings assigned in the Master Agreement.
