Related Client definition

Related Client means a Client account, including a proprietary account consisting of seed capital during the incubation period, for which an Advisory Person or the portfolio management team of which the Advisory Person is a member, has or is deemed to have, investment decision-making authority or is responsible for maintaining and/or reviewing information pertaining to the account.

Related Client means (a) any Acquired Company and (b) any employee of any Acquired Company and any of their Family Related Parties; provided that Revenue Run Rate of a Related Client shall not include amounts invested by any Acquired Company as of the Base Date in Sculptor Alternative Solutions, LLC or any CLO.

Related Client means any Advisory Client or investor in any TB Fund that is (i) any member of the Company Group, any Seller or any Seller Owner, (ii) a director, officer, shareholder, owner or employee of any member of the Company Group or a member of the immediate family of any such director, officer, shareholder, owner or employee, or (iii) a trust or collective investment vehicle in which any member of the Company Group is a holder of a beneficial interest.

Examples of Related Client in a sentence

• Advisory Persons are not permitted to: a) sell short any security (or Related Security) that they hold or intend to hold for a Related Client; or b) buy a long position in a security (or Related Security) if they have or intend to create a short position in the same security for a Related Client.

• Advisory Persons who hold a previously approved Private Placement and are subsequently involved, or play a part in the consideration of the same Private Placement as an investment for a Related Client, must inform the Legal and Compliance Department of their personal investment (or their Immediate Family Member’s investment).

• No Advisory Person or Advisory Person of a Fund may execute transactions in a Covered Security held in a Covered Account that would be on the opposite side of any trade in a Related Client account that was executed within 5 business days prior to the trade in the Covered Account (“Opposite Side Trade”).

• For example, if an Advisory Person executes a purchase of shares of Company XYZ on Monday, February 1st for a Related Client account(s), that Advisory Person and their team will be prohibited from executing a sale of shares of Company XYZ for their Covered Accounts between the time when the Related Client order was submitted on Monday, February 1st through the close of trading on Monday, February 8th.

• The decision to invest in the Private Placement for a Related Client will be determined by the Legal and Compliance Department and other relevant parties as deemed necessary for the review process.

More Definitions of Related Client

Related Client means any Client (or, if applicable, an investor therein) that is (a) any Acquired Company, (b) any Representative of any Acquired Company, (c) any Affiliate of any Person described in the foregoing clause (b), (d) a Representative or Immediate Family member of any of the foregoing under clauses (b) and (c) (or any Affiliate of any of them) and (e) any trust in which any of the foregoing under clauses (a)-(d) is a holder of a beneficial interest.

Related Client means any Client that is (a) a member of the Company Group or Seller or any Affiliate thereof, (b) a director, officer, shareholder, owner or employee of any of the entities listed in clause (a) or an immediate family member of any such director, officer, shareholder, owner or employee, or (c) a trust or collective investment vehicle in which any of the foregoing is a holder of a beneficial interest, other than, for the avoidance of doubt, any capital commitment (or related investment) of any general partner (or similar entity).

Related Client means a subsidiary, parent company or other affiliated company of the Customer included on Exhibit A hereto, for whom the Customer may request access to the Services;

Related Client means a fee-paying Client that is (i) Buyer, any Seller Entity or any of their respective Controlled Affiliates, (ii) any Member or any director, officer, member, employee or Immediate Family Member of any of the Persons identified in clause (i) or (ii), or (iii) a trust or other similar personal or estate planning vehicle in which any of the any of the Persons identified in clause (i) or (ii) is a holder of a beneficial interest.

Related Client has the meaning set forth in Section 3.1(z)(ii)(a).

Related Client means any client that is (i) a Partner, an Employee Equityholder, the Partnership or a Controlled Affiliate thereof, (ii) an Affiliate of any Partner (other than the General Partner), any Employee Equityholder, the Partnership or any Controlled Affiliate thereof, (iii) an equity holder (or other owner), director, officer, employee or Immediate Family member of any of the foregoing, (iv) a trust or Fund in which any of the foregoing is a holder of a beneficial interest (in the case of this clause (iv) with respect to a Fund, solely to the extent of the proportionate assets under management in such Fund represented by such beneficial interest) or (v) AMG or any Controlled Affiliate thereof (except to the extent otherwise agreed by the General Partner in writing).

Related Client. - means a company which is in the same group as the Client (being a holding company or subsidiary company of the Client as defined in section 1159 of the Companies Act 2006 and any other company which is itself a subsidiary company of such a holding company, or a company which has a director who is also a director of the Client;
