Replacement of Supplier Personnel. CITY reserves the right to reject at any time for any lawful reason whatsoever any of SUPPLIER’S personnel assigned by SUPPLIER in connection with any Work Order. SUPPLIER shall as soon as possible thereafter provide a replacement satisfactory to CITY. In no event shall performance of the Services be delayed or shall CITY be charged for any time required for any replacement SUPPLIER’S personnel to be trained to provide or become familiarized with the Services, whether the replacement is requested by CITY or not.

Replacement of Supplier Personnel. (a) If JPMC or Recipient determines that the continued assignment to JPMC’s account of any Supplier Personnel is not in the best interests of JPMC, JPMC may request in writing that the individual be replaced. Within 24 hours after Supplier’s receipt of that request, Supplier will remove that individual from JPMC’s account and all JPMorgan Chase & Co. facilities and within five days replace that individual with Supplier Personnel of suitable ability and qualifications at no additional cost to JPMC. JPMC will not be invoiced for any work performed by that individual if JPMC’s request for removal and replacement of that individual is made within the first 10 Business Days of that individual’s assignment to JPMC’s account. Additionally, JPMC shall not be obligated to pay for any time that replacement Supplier Personnel spend performing Services until such time as the replacement Supplier Personnel have reached the level of proficiency required to effectively perform their required roles as JPMC determines in its sole and reasonable discretion.
Replacement of Supplier Personnel. In the event that the Customer deems the performance of Supplier Personnel unsatisfactory, Supplier will replace such Supplier Personnel immediately upon Customer’s request and at no additional cost. Customer will owe fees only for the work performed by such Supplier Personnel up to the date of the request, except that no fees will be payable by the Customer if it makes a replacement request within seven (7) days from commencement of the relevant Statement of Work.
Replacement of Supplier Personnel. If Customer requests that Supplier replace any Supplier personnel (including any employees, consultants or subcontractors of Supplier), Supplier shall in good faith consider replacing such personnel, and shall replace such personnel as is reasonably necessary. Nothing in this provision shall be deemed to give Customer the right to require that Supplier terminate the employment of any of Supplier's personnel; it only gives Customer the right to require that Supplier discontinue using an employee in the performance of Services for Customer.
Replacement of Supplier Personnel. JPMC shall have the right to reject, remove or have replaced any Supplier Personnel member assigned to JPMC for any reason in JPMC’s sole and absolute discretion. If JPMC rejects, removes and/or requests replacement of any Supplier Personnel member, Supplier shall, at Supplier’s sole cost and expense, promptly remove and replace that individual with Supplier Personnel of suitable ability and qualifications.   • Review Systems; Personnel It will maintain business process management and/or other systems necessary to ensure that it can perform each Test and, on execution of this Agreement, will load each Test into these systems. The Asset Representations Reviewer will ensure that these systems allow for each Review Receivable and the related Review Materials to be individually tracked and stored as contemplated by this Agreement. The Asset Representations Reviewer will maintain adequate staff that is properly trained to conduct Reviews as required by this Agreement.

  • Manager Personnel The Manager shall authorize and permit any of its directors, officers and employees who may be elected or appointed as Trustees or officers of the Trust to serve in the capacities in which they are elected or appointed. Services to be furnished by the Manager under this Agreement may be furnished through the medium of any of such directors, officers, or employees.

  • Service Locations X.X. Xxxxxx maintains various operational/service centers and locations through the United States and foreign jurisdictions. The services provided under this Agreement may be provided from one or more such locations. X.X. Xxxxxx may change the operational/service centers and locations as it deems necessary or appropriate for its business concerns.

  • Use of Subservicers and Subcontractors The Servicer shall not hire or otherwise utilize the services of any Subservicer to fulfill any of the obligations of the Servicer as servicer under this Agreement or any Reconstitution Agreement unless the Servicer complies with the provisions of paragraph (a) of this Section. The Servicer shall not hire or otherwise utilize the services of any Subcontractor, and shall not permit any Subservicer to hire or otherwise utilize the services of any Subcontractor, to fulfill any of the obligations of the Servicer as servicer under this Agreement or any Reconstitution Agreement unless the Servicer complies with the provisions of paragraph (b) of this Section.

  • Substantial Customers and Suppliers (a) Section 3.27(a) of the Disclosure Schedule lists the twenty (20) largest customers of the Company on the basis of revenues on the basis of invoiced amount for the twelve (12) month period ending on the Balance Sheet Date.

  • Use of Subcontractors Nothing in this Appendix 2 shall prevent the Interconnection Parties from utilizing the services of subcontractors as they deem appropriate to perform their respective obligations hereunder, provided, however, that each Interconnection Party shall require its subcontractors to comply with all applicable terms and conditions of this Appendix 2 in providing such services.
