Representations and Warranties of Authority. Authority hereby represents and warrants to City as follows:
Representations and Warranties of Authority. Each Party represents and warrants to the other that:
a. it has full power and authority to execute, deliver and perform its obligations under this Agreement;
b. the execution, delivery and performance of this Agreement have been duly and validly authorized by all necessary action by such Party; and
c. the execution and delivery of this Agreement by such Party and the performance of the terms, covenants and conditions contained herein will not violate the articles of incorporation or by-laws of such Party, or any order of a court or arbitrator, and will not conflict with and will not constitute a material breach of, or material default under, the provisions of any material contract by which either Party is bound. These representations and warranties shall survive the expiration or termination of this Agreement.

Private Entity represents and warrants that it has legal authority to enter into this Agreement and perform all of its obligations herein, that all Work under this Agreement shall be performed by appropriately licensed entities or individuals when required, and that the execution of this Agreement by it has been duly and properly authorized. As a condition to this Agreement's effectiveness, Private Entity shall provide to Owner a certificate in form and with attachments satisfactory to Owner showing to Owner's satisfaction Private Entity's legal existence and authority to enter into this Agreement.
b. Owner represents and warrants that it has legal authority to enter into this Agreement and perform all its obligations herein and that the execution of this Agreement by it has been duly and properly authorized, including approval by the local governing body in accordance with Va. Code § 56-- 575.16 (as evidenced by the signature of approval on behalf of Owner affixed to this Agreement).

Representations and Warranties of Authority. The Authority represents and warrants for the benefit of the Governmental Agency as follows:
(A) The Authority is a body corporate and politic constituting a governmental agency and instrumentality of the Commonwealth, has all necessary power and authority to enter into, and perform its obligations under, this Assistance Agreement, and has duly authorized the execution and delivery of this Assistance Agreement.
(B) Neither the execution and delivery hereof, nor the fulfillment of or compliance with the terms and conditions hereof, nor the consummation of the transactions contemplated hereby, conflicts with or results in a breach of the terms, conditions and provisions of any restriction or any agreement or instrument to which the Authority is now a party or by which the Authority is bound, or constitutes a default under any of the foregoing.
(C) To the knowledge of the Authority, there is no litigation or proceeding pending or threatened against the Authority or any other person affecting the right of the Authority to execute or deliver this Assistance Agreement or to comply with its obligations under this Assistance Agreement. Neither the execution and delivery of this Assistance Agreement by the Authority, nor compliance by the Authority with its obligations under this Assistance Agreement, require the approval of any regulatory body or any other entity, and any such approval has not been obtained.
(D) The authorization, execution and delivery of this Assistance Agreement and all actions of the Authority with respect thereto, are in compliance with the Act and any regulations issued thereunder.

Representations and Warranties of Authority. 9.1 Authority hereby represents and warrants to State that:
9.1.1 Authority has the full power and authority to execute and enter into this Agreement and to consummate the transactions contemplated hereunder;
9.1.2 This Agreement constitutes a legal, valid and binding agreement of Authority enforceable in accordance with its terms;
9.1.3 Authority shall take all action required to terminate the leases with the various tenants of the Parking Lot and the Building; and
9.1.4 Upon execution of this Agreement, Authority shall assume full responsibility for coordinating, contracting, and paying for any relocation obligations required by applicable law. The State shall have no responsibility for coordinating, contracting, or paying for any relocation obligations for any tenants.

All Parties represent and warrant (1) that the signatories to this Compromise have full legal right, power, and authority to execute this Compromise and bind the parties for whom they execute the Compromise; (2) that they have read the above and foregoing Compromise; and (3) that they are not relying on any representations not contained herein. The parties further understand that this Compromise covers and includes every claim of every kind that they have or may have had, contingent or otherwise, against the other parties. Each Party hereby represents that no one connected with or representing the other Party has made any representations of any kind either as to the liability or as to damages in order to induce such party to make this settlement and release, and each Party hereby states that it is making this settlement and executing this release solely of its/his own judgment.
