All representations and warranties of Transferee in this Agreement shall be true and correct in all material respects as of the Closing Date, with the same force and effect as if such representations and warranties were made anew as of the Closing Date. Any material changes to such representations disclosed by Transferee pursuant to Section 12.3.1 shall be reasonably acceptable to Transferors, and Transferee shall have performed and complied in all material respects with all covenants and agreements required by this Agreement to be performed or complied with by Transferee prior to the Closing Date.
