Representatives and Alternates. Each Member shall also be entitled to designate one (1) alternate to each such Representative (each an "Alternate"). In the event a Representative is unable to attend a meeting of the Board of Representatives or otherwise participate in any action to be taken by the Board of Representatives, the Alternate associated with such Representative shall take such Representative's place for all purposes on the Board of Representatives. Each Member shall designate its Representatives and the associated Alternates by written notice to the Company and each other Member. The initial Representatives and Alternates of each Member are set forth on Schedule B. The Representatives and Alternates shall at all times be executive officers or other full-time employees of either such Member or any affiliate of such Member. For so long as BAM has the right to designate at least one (1) Representative of the Company, the Representatives and Alternates of the Company shall also serve as the Representatives and Alternates of HoldCo Sub and OpCo.

Representatives and Alternates. Each Partner shall also have the right to designate one (1) alternate to each Representative designated by such Partner pursuant to the third sentence of Section 3.3(a) (each, an “Alternate”). In the event a Representative is unable to attend a meeting of the Board of Representatives or otherwise participate in any action to be taken by the Board of Representatives, or with respect to any meeting or matter acted upon at a meeting or any other action to be taken by the Board of Representatives, if directed by the Partner who designated the Representative, the Alternate named by the applicable Partner for such Representative may, and if directed by such Partner shall, act and vote in place of such Representative.

Representatives and Alternates. Each Party will appoint a representative to the Administrative Board and at least one alternate. The Association must be notified in writing by each Party of such appointments, and any changes thereof, before such appointees may participate in the affairs of the Association. Representatives and alternates shall participate in scheduled meetings by presence or by proxy if a vote is called for, whenever possible. Representatives and alternates shall serve without compensation from the Association.

  • Representatives of the Parties WRCOG’s Executive Director, or his or her designee, shall serve as WRCOG’s representative and shall have the authority to act on behalf of WRCOG for all purposes under this Agreement. The AGENCY hereby designates XXXX XXXXXXXXX, DIRECTOR OF TRANSPORTATION, or his or her designee, as the AGENCY’s representative to WRCOG. The AGENCY’s representative shall have the authority to act on behalf of the AGENCY for all purposes under this Agreement and shall coordinate all activities of the Project under the AGENCY’s responsibility.   • UNION REPRESENTATIVE'S VISITS 30.01 Duly authorized full-time representatives of the Union shall be entitled to visit the Co-operative for the purpose of observing working conditions, interviewing members and unsigned employees and to ensure that the terms of the Collective Agreement are being implemented. 30.02 The interview of an employee by a Union Representative shall be permitted, after notifying the General Manager or their designated representative, and shall be: (a) carried on in a place within the Co-operative's premises designated by management; (b) held whenever possible during the lunch period; however, if this is not practical; (c) held during the regular working hours; time taken for such interview in excess of five (5) minutes shall not be on Co-operative time unless with the approval of management; (d) held at such times as will not interfere with service to the public.

  • Alternates Unless otherwise stipulated, all alternate bids are deductive. It is in the best interest of the public, and the intent of the Owner is, that the entire Project be constructed within the funds allocated in the Project budget. The acceptance of any deductive alternate will be utilized as a last resort to accomplish the Project without requiring a redesign and rebidding of the Project. Any alternate, or alternates, if taken, will be taken in numerical sequence to the extent necessary.
