Reserved Materials. Provider will not incorporate into or provide with any Assigned Deliverable any Reserved Materials unless Provider has specifically identified in reasonable detail such Reserved Materials in the applicable SOW. To the extent any Reserved Materials are included in an Assigned Deliverable, such Reserved Materials are hereby licensed to Provider under the license for Licensed Deliverables in Section 6.2(a).
Reserved Materials. Notwithstanding the other provisions of this Agreement, High Point (as between High Point and Customer) will have exclusive title and ownership rights, including Intellectual Property rights throughout the world, all works materials, software, documentation, methods, apparatus, systems. and other materials (i) owned or possessed by High Point prior to the execution of this Agreement, (ii) developed by High Point independently of its work under this Agreement, or (iii) prepared, developed, conceived, or delivered as part of or in connection with the Services but not comprising Work Product (collectively, “Reserved Materials”), without regard to whether they were specifically adapted by Seller for use in providing the Services. On Customer’s payment in full for the Services, High Point will be deemed to have granted Customer a perpetual, irrevocable, fully paid up license under High Point’s Intellectual Property rights to use the Reserved Materials solely to make complete and unrestricted use and enjoyment of the Work Product and other deliverables provided to Customer under any Task Order.
