Restrictions on Disposition of Units. (a) At any time during the Restriction Period, except as provided in Section 12.2, (i) no Individual shall Beneficially Own outstanding Units in excess of the General Ownership Limit and (ii) any transfer that, if effective, would result in any Individual Beneficially Owning Units in excess of the General Ownership Limit shall be void ab initio as to the transfer of that number of Units that would be otherwise Beneficially Owned by such Individual in excess of the General Ownership Limit, and the intended transferee shall acquire no rights in such excess Units.

Restrictions on Disposition of Units. The parties have agreed that it is not desirable that any of the Units be sold or transferred because the Members desire to provide for the continuity of membership and management of the Company. The parties desire to ensure that no stranger becomes a Member or the holder of any Unit. The parties believe it is in the best interest of the Company and the Members to restrict the disposition of Units and prohibit the sale or disposition of such Units to any person(s), company or entity; provided, however, that Units may be redeemed for fair market value by the Company as provided herein. Any attempted sale or disposition of any Unit, or any part thereof, shall be, and is hereby declared, null and void ab initio. The Members agree that the foregoing transfer restriction is intended to permit the harmonious operation of the Company’s business, is reasonable in view of the Company’s purpose and the relationship of the Members, and may be specifically enforced by the Company and each Member.
Restrictions on Disposition of Units. Neither the Grantee nor any of his heirs or representatives shall sell, assign, transfer, pledge or otherwise directly or indirectly dispose of or encumber any of the Units to or with any other person, firm or corporation (including, without limitation, transfers to any other holder of Units, dispositions by gift, by will, by a corporation as a distribution in liquidation and by operation of law other than a transfer of Units by operation of law to the estate of the Grantee upon the death of the Grantee, PROVIDED that such estate shall be bound by all provisions of this Agreement and the LLC Agreement), except as provided in Sections 5 and 6 hereof, and in the LLC Agreement. The restrictions contained in this Section 4 (but not the restrictions contained in the LLC Agreement which shall terminate only as provided therein) shall terminate in the event that an underwritten public offering of LLC Units (or the securities into which such units shall have been converted or for which such LLC Units shall have been exchanged) of the Company led by one or more underwriters at least one of which is of nationally recognized standing (a "Public Offering") has been consummated and shall not apply to a sale as part of a Public Offering or at any time thereafter.

  • Restrictions on Disposition The Stockholder hereby agrees, except as permitted in this Section 4(a) and Section 4(b) below, not to directly or indirectly, offer to sell, contract to sell, transfer, assign, cause to be redeemed or otherwise sell or dispose of any of the Parent Shares (collectively a "Disposition") received by the stockholder in connection with the Merger without the prior written consent of Cordiant. Notwithstanding anything to the contrary provided in this Agreement, the Stockholder shall have the right to transfer Parent Shares (i) to any Family Member, (ii) to the trustee or trustees of a trust solely (except for remote contingent interests) for the benefit of the Stockholder and/or one or more Family Members and/or a charitable organization (a "Family Member Trust"), (iii) to a foundation created or established by the Stockholder, or any other charitable organization, (iv) to a corporation of which the Stockholder and/or any Family Member and/or any Family Member Trust owns all of the outstanding capital stock, (v) to a limited liability company of which the Stockholder and/or any Family Member and/or any Family Member Trust owns all of the outstanding membership interests, (vi) to a partnership of which the Stockholder and/or any Family Member and/or any Family Member Trust owns all of the partnership interests, (vii) to the executor, administrator or personal representative of the estate of the Stockholder or any other Family Member, or (viii) to any guardian, trustee or conservator appointed with respect to the assets of the Stockholder, provided, that in the case of any such transfer, the transferee shall execute an agreement to be bound by the terms of this Agreement (each such transfer, a "Permitted Transfer" and, collectively, the "Permitted Transfers"). For purposes of this Agreement, "Family Member" shall mean (a) the Stockholder's spouse, if living with the Stockholder, (b) any one of the following: the Stockholder's father, mother, issue, brother or sister, and the issue of a brother or sister, and (c) the spouse of any Family Member described in (b) above, if the spouse shall be living with that Family Member. The Stockholder hereby agrees and consents to the entry of stop transfer instructions with Cordiant's transfer agent against the transfer of such Parent Shares except in compliance with this Agreement. Notwithstanding the foregoing, the Stockholder may pledge, hypothecate or otherwise grant a security interest in all or a portion of the Parent Shares beneficially owned by him during the term of this Agreement; provided, however, that any Person receiving such Parent Shares shall be subject to all of the restrictions on Disposition of such Parent Shares imposed by this Agreement to the same extent as the Stockholder.
