Rights and Obligations Surviving Termination. The rights and obligations of the Parties that are intended to survive a termination of this Agreement are all such rights and obligations that this Agreement expressly provides survive such termination as well as those rights and obligations arising from either Parties’ covenants, agreements, representations or warranties applicable to, or to be performed, at, before or as a result of the termination of this Agreement, including:

Rights and Obligations Surviving Termination. Following any termination of this Agreement as provided in subparagraph 5(D) or in 5(E), NAI shall have no obligation to continue or complete any Work; provided, however, no termination of this Agreement shall reduce or excuse the following rights and obligations of the parties, it being intended that all such rights and obligations shall survive and continue after any such termination:

Rights and Obligations Surviving Termination. In the event the Property is rented, upon termination of Buyer's rights in the Property, Buyer will provide an accounting to Seller of any prepaid rents and deposits received by Buyer from the Property, which obligation will survive termination. Notwithstanding the termination of Buyer's rights to the Property, Buyer will be liable to Seller for any failure to maintain the property as required in Paragraph 4A, as well as for any unpaid taxes or utility liens which survive the termination of Buyer's rights, prepaid rent, and rental deposits.
Rights and Obligations Surviving Termination. Any default under or upon termination of this Agreement or expiration of the Term shall not release either Party from any applicable provisions of this Agreement with respect to (a) the payment of any amounts owed to the other Party arising prior to or resulting from termination of, or on account of breach of, this Agreement; (b) for a period of three (3) years after the termination date, the right to submit a payment dispute pursuant to Section 9.4; and (c) the resolution of any dispute submitted pursuant to Section 9.4 prior to, or resulting from, termination; (d) the confidentiality obligations pursuant to Section 15.12; and (e) the duties and obligations pursuant to Sections 15.5, 15.7, 15.11, 16.4, 16.5, 16.7, 16.11, and 16.13.
Rights and Obligations Surviving Termination. Applicable provisions of this Agreement shall continue in effect after termination, including early termination, to the extent necessary to enforce or complete the duties, obligations or responsibilities of the Parties arising prior to termination and, as applicable, to provide for: final xxxxxxxx and adjustments related to the period prior to termination, repayment of any money due and owing to either party pursuant to this Agreement, and the indemnifications specified in this Agreement.
