Duties of Operator. Each Applicable EXCO Operator shall perform the following duties with respect to the Non-Contract Properties associated with such Applicable EXCO Operator: (a) Providing general operational, engineering, geology, and management services in order to safely and prudently operate the Non-Contract Properties including without limitation, engineering for lease operations and facilities engineering; (b) Monitoring and supervision of pumping of each well on the Non-Contract Properties, gauging of tanks, routine maintenance of xxxxx and other field facilities on the Non-Contract Properties, and hiring and supervision of third party contractors for operations on the Non-Contract Properties; (c) Negotiating, purchasing, providing maintenance, and keeping inventory records of all personal property, equipment and supplies, and procurement of services for use on the Non-Contract Properties; (d) Keeping of records and files related to the operation of the Non-Contract Properties; (e) Carrying of Workmen's Compensation insurance, Employer's Liability insurance, Comprehensive General Liability insurance, Automobile Public Liability insurance, upon such terms and limits as specified on Exhibit B of this Agreement and such other insurance as may be mutually agreed by the Parties from time to time. The cost of such insurance applicable to the Non-Contract Properties shall be borne by EXCO and accounted for in the calculation of the Administrative Services Fee; (f) Preparing and filing monthly reports and forms, and preparing incidental reports as required by regulations of the applicable state or federal governmental authorities with respect to operation of the Non-Contract Properties; (g) Preparing all 1099 forms for vendors and joint interest owners as may be required by applicable law with respect to the Non-Contract Properties; (h) Providing land, geologic and reservoir engineering support; (i) Providing marketing services as provided in Article IX of this Agreement; (j) Making payments of (1) royalties and other burdens on production from the Non-Contract Properties, (2) severance and all other applicable taxes relating to such Non-Contract Properties and (3) any other similar payment obligations arising under the terms of any lease relating to any such Non-Contract Properties; (k) Conducting development and operations of the Non-Contract Properties in accordance with the drilling and completion plan approved from time to time by the board of directors of the Managing G...
Duties of Operator. During the Term, EPL, in its capacity as Operator of Gatherer’s Systems, shall assume full control and responsibility for the efficient and safe performance of Pipeline Operations, subject to and in accordance with the terms of this Agreement. Except as otherwise provided herein, Gatherer hereby authorizes and empowers Operator to do and perform any and all acts and things necessary, requisite, or proper for the efficient and safe performance of Pipeline Operations on or in connection with Gatherer’s Systems. Without limiting the generality of the foregoing, the duties of Operator shall include: (a) performing all design, engineering, construction, testing, planning, budgeting, and reporting functions associated with the safe and efficient performance of Pipeline Operations (including Expansion Projects, Well Connects, and Sustaining Projects), and the maintenance of books of account and records with respect thereto as provided herein; (b) performing on behalf of Gatherer, in a safe and efficient manner, the terms of the Gathering Agreement and all activities that may be required to receive, gather, compress and redeliver the Gas gathered in Gatherer’s Systems, including the scheduling of receipts and deliveries of Gas into and out of Gatherer’s Systems, maintaining adequate shipper inventory balances, and providing adequate control facilities; (c) procuring and furnishing, by purchase, lease or otherwise in Operator’s sole discretion, all necessary materials, equipment, spare parts, supplies, services, and labor, as well as executing, on its own behalf and not as the agent of Gatherer, all contracts, agreements, and other commitments with contractors, subcontractors, suppliers, service providers, and other vendors as are necessary, in each case, in connection with the safe and efficient performance of Pipeline Operations; (d) the prompt payment and discharge of all expenses, costs, and liabilities incurred in the performance of Pipeline Operations; (e) periodically inspecting Gatherer’s Systems (as well as the cathodic protection system installed in or on, but not a part of, Gatherer’s Systems) for damage or other conditions which could affect the safe and efficient performance of Pipeline Operations and performing such repairs to Gatherer’s Systems as may be required; (f) subject to the terms of Section 4.5, responsibility for the investigation, evaluation, appraisement, response, negotiation, resolution, and/or settlement of any disputes or controversie...
Duties of Operator. Operator shall: (a) promptly cause to be investigated all accidents and claims for injury or damage relating to the operation and maintenance of the DPAC or DPAC Site, as they become known to Operator, and promptly report to City any such incident that is material; (b) promptly cause to be investigated all damage to or destruction of the DPAC or DPAC Site, as it becomes known to Operator, and promptly report to City any such incident that is material, together with the estimated cost of repair thereof. (c) promptly prepare any and all reports required by any insurance company as the result of an incident mentioned in this Section 6.1.4, acting as the agent for all other named insureds, additional insureds, mortgagees, and loss payees; (d) promptly retain on behalf of City and with the prior written approval of City, all consultants and experts, including architects, engineers, contractors, accountants, and attorneys, as needed, to assist in analyzing any loss or damage, determining the nature and cost of repair, and preparing and presenting any Proofs of Loss or claims to any insurers, unless such loss is due to claims resulting from a structural defect, or unless City elects to assign an independent adjuster or appraiser for this purpose, in which case Operator shall cooperate fully with the adjuster or appraiser. Such costs of retaining the consultants and experts referred to in this subsection (d) will be a Capital Expenditure to be borne by the City; (e) before any Person other than the City rents or uses any portion of the DPAC for a performance, function or other activity, including rehearsals, see that said Person has obtained certificates of insurance demonstrating coverages customary for third party usage of similar performing arts halls of the DPAC's size and nature; and (f) maintain in effect for the DPAC a bona fide safety program to include employees and the public, and maintain an emergency evacuation plan for the DPAC.
Duties of Operator. 3.1 The Operator agrees to manage and operate the Fitness Centre in accordance with the Operating Plan and annual budget approved by the Council of the Municipality. 3.2 The Operator will prepare and submit to the Municipality, by October 15th of each year, a preliminary Operating Plan and Budget for the next calendar year. The Operator will prepare and submit to the Municipality, by November 30th of each year, a final Operating Plan and Budget for the next calendar year. The operator will implement said budget, once approved by the Municipality, using its best efforts to achieve the targets contained within. 3.3 The Operator will develop, implement, advertise, promote and operate all programming in the Fitness Centre that meet the shared mission and vision of the Operator and the Municipality. 3.4 The Operator will provide trained, qualified, and competent staff as determined by the standards deemed appropriate by the Operator; and will provide adequate administrative equipment and supplies to operate the Fitness Centre and programming. 3.5 The Operator will provide and supervise all Human Resource functions as they relate to the Fitness Centre. 3.6 The Operator will maintain all records pertaining to its operation of the Fitness Centre. The Municipality will have access to such records at all times. 3.7 The Operator will manage the revenues from the Fitness Centre, programming and related activities. 3.8 The Operator shall provide a monthly financial statement of operations to the Municipality concerning the operation of the Fitness Centre. 3.9 The Operator shall provide to the Municipality an annual audited statement for the YMCAs across Southwestern Ontario, including a schedule of revenue and expense for the operation of the Fitness Centre. 3.10 The Operator agrees that administration of the Municipality will, from time to time as the Municipality sees fit, have the opportunity to review the revenue and expenditure documents for the Fitness Centre. 3.11 The Operator will recommend capital equipment and improvement to the Municipality annually in conjunction with the Operating Plan and Budget. 3.12 The Operator shall at their expense, obtain and keep in force during the term of this License and any renewal thereof, Commercial General Liability Insurance satisfactory to the Municipality, be written by an insurer licensed to conduct business in the province of Ontario and include but not be limited to the following: i. Duties of Operator. 4.01 Operator shall manage, operate and provide at its sole cost and expense: (a) all necessary furniture, fixtures and equipment not currently provided at the Facility including but not limited to computers, fax and copy equipment, radios, televisions, uniforms and linens and basic office furniture and administrative phone systems, which are necessary or prudent for operation and management of the Facility and the housing of prisoners; (b) intake facilities and prisoner accounting which shall encompass booking, classification, record-keeping, billing, system of controls, identification systems and records, computerized communication interface with law enforcement agencies, and such statistical records as may be required by law or are generally accepted prisoner-locator practices; (c) attendants to control ingress and egress at the Facility, in addition to attendants necessary for the requisite level of security internally within the Facility and those required to monitor the activities of prisoners confined within the Facility; (d) food and beverage services; (e) clothing and uniforms; (f) engineering and maintenance; (g) procurement and purchasing; (h) recreational, vocational, counseling, education and exercise programs, and other program requirements required by law or prisoner housing contracts; (i) bookkeeping and financial accounting; (j) routine medical care/sick call, and access to non-routine care; (k) training of jailers to be employed at the Facility and all start-up costs of operations; (l) all repair, upkeep and ordinary maintenance (to the extent set forth below), required for the Facility; (m) necessary utilities and refuse services; (n) all other services necessary or proper for the efficient and safe operation of the Facility, and secure custody, care and housing of inmates, in compliance with all applicable federal, state and local laws and regulations, including the applicable standards of the Texas Commission on Jail Standards, and applicable standards of the A.C.A.; and (o) Transportation services for the transportation of the County’s own inmates to and from the local Xxxxxx County district and county court proceedings.
