RIGHTS UPON SALE. Should LESSOR, at any time during the Term, decide (i) to sell or otherwise transfer all or any part of the Property, or (ii) to grant to a third party by easement or other legal instrument an interest in and to any portion of the Premises, such sale, transfer, or grant of an easement or interest therein shall be under and subject to this Agreement and any such purchaser or transferee shall recognize LESSEE's rights hereunder. In the event that LESSOR completes any such sale, transfer, or grant described in this Paragraph without executing an assignment of the Agreement whereby the third party agrees in writing to assume all obligations of LESSOR under this Agreement, then LESSOR shall not be released from its obligations to LESSEE under this Agreement, and LESSEE shall have the right to look to LESSOR and the third party for the full performance of the Agreement.

RIGHTS UPON SALE. Should LESSOR, at any time during the Term decide (i) to sell or transfer all or any part of the Property to a purchaser other than LESSEE, or (ii) to grant to a third party by easement or other legal instrument an interest in and to that portion of the Property occupied by LESSEE, or a larger portion thereof, for the purpose of operating and maintaining communications facilities or the management thereof, such sale or grant of an easement or interest therein shall be under and subject to this Agreement and any such purchaser or transferee shall recognize LESSEE's rights hereunder under the terms of this Agreement. To the extent that LESSOR grants to a third party by easement or other legal instrument an interest in and to that portion of the Property occupied by LESSEE for the purpose of operating and maintaining communications facilities or the management thereof and in conjunction therewith, assigns this Agreement to said third party, LESSOR shall not be released from its obligations to LESSEE under this Agreement, and LESSEE shall have the right to look to LESSOR and the third party for the full performance of this Agreement.
RIGHTS UPON SALE. Should LICENSOR, at any time during the Term of any Supplement decide to sell or transfer all or any part of the Property such sale or grant of an easement or interest therein shall be under and subject to the Supplement and any such purchaser or transferee shall recognize LICENSEE's rights hereunder and under the terms of the Supplement.
RIGHTS UPON SALE. If, at any time during the Term of any Supplement, Lessor decides: (i) to sell or transfer all or any part of the Property or the Wireless Support Structure thereon to a purchaser other than Lessee, or (ii) to grant to a third party by easement or other legal instrument an interest in that portion of the Property occupied by Lessee, or a larger portion thereof, for the purpose of operating and maintaining communications facilities or the management thereof, that sale or grant of an easement or interest therein shall be subject to the Supplement, and any such purchaser or transferee must recognize Lessee's rights hereunder and under the terms of the affected Supplement(s). If Lessor completes any such sale, transfer, or grant described in this paragraph without executing an assignment of the Supplement in which the third party agrees in writing to assume all obligations of Lessor under the Supplement, then Lessor shall not be released from its obligations to Lessee under the Supplement, and Lessee shall have the right to look to Lessor and the third party for the full performance of the Supplement.
RIGHTS UPON SALE. Except as provided in Paragraph 12 above regarding abandonment, should CITY, at any time during the Term of any Permit decide (i) to sell or transfer all or any part of the Property to a purchaser other than LICENSEE , or (ii) to grant to a third party by easement or other legal instrument an interest in and to that portion of the Property occupied by LICENSEE, or a larger portion thereof, for the purpose of operating and maintaining Communications Facilities or the management thereof, such sale or transfer, or grant of an easement or interest therein shall be under and subject to the Permit and any such purchaser, transferee or grantee shall recognize LICENSEE’S rights hereunder and under the terms of the Permit. In the event that CITY completes any such sale, transfer, or grant described in this Paragraph without executing an assignment of the Permit whereby the third party agrees in writing to assume all obligations of CITY under the Permit, then CITY shall not be released from its obligations to LICENSEE under the Permit, and LICENSEE shall have the right to look to CITY and the third party for the full performance of the Permit.
RIGHTS UPON SALE. Should the Lessor, at any time during any Term of this Agreement, decide to sell all or any part of the Property, to a purchaser other than Lessee, such sale shall be under and subject to this Agreement, and Lessee's rights hereunder, and any sale by the Lessor of the portion of this Property underlying the right-of-way herein granted, shall be under and subject to the right of the Lessee, in and to such right-of-way.
RIGHTS UPON SALE. If Lessor desires during the Initial Term or any extension thereof to sell, transfer or otherwise dispose (a “Sale”) of all or any portion of its interest in the Leased Property to a third party (“Purchaser”), Lessor shall (a) obtain from the Purchaser a bona fide written offer to acquire such interest, stating the terms and conditions upon which the Sale is to be made and the consideration offered therefore, and (b) give written notification to Lessee of its intention to so sell or otherwise dispose of its interest in the Leased Property, which notification shall be accompanied by a copy of Purchaser’s offer. Lessee shall have the option to purchase all but not less than all of the interest in the Leased Property offered by Lessor upon the same terms and conditions as offered by the Purchaser, which option may be exercised by giving written notification to Lessor within twenty (20) days after notice of Lessor’s intent to sell or otherwise dispose of the interest in the Leased Property. If Lessee fails to timely exercise its purchase option, Lessor shall be entitled to consummate the Sale to the Purchaser upon terms and conditions that are materially no less favorable than are set forth in Purchaser’s offer, with such Purchaser taking subject to this Lease. If Lessee timely elects to exercise its purchase option, it shall designate the time, date, and place of closing, provided that the date of closing shall be within sixty (60) days of the date of Lessee’s exercise of its purchase option.

To the extent that LICENSOR grants to a third party by easement or other legal instrument an interest in and to that portion of the Building and/or Property occupied by LICENSEE for the purpose of operating and maintaining communications facilities or the management thereof and in conjunction therewith, assigns the Agreement to said third party, LICENSOR shall not be released from its obligations to LICENSEE under the Agreement, and LICENSEE shall have the right to look to LICENSOR and the third party for the full performance of the Agreement.
RIGHTS UPON SALE. Should Landlord, at any time during the Term decide (i) to sell or transfer all or any part of the Property to a purchaser other than Tenant, or (ii) to grant to a third party by easement or other legal instrument an interest in and to that portion of the Property occupied by Tenant, such sale or grant of an easement or interest therein shall be under and subject to this Lease and any such purchaser or transferee shall recognize Tenant's rights hereunder under the terms of this Lease. To the extent that Landlord grants to a third party by easement or other legal instrument an interest in and to that portion of the Property occupied by Tenant, Landlord thereby assigns this Lease to said third party but Landlord shall not be released from its obligations to Tenant under this Lease, and Tenant shall have the right to look to Landlord and the third party for the full performance of this Lease.
