Role of the City. Under this ESA, the City shall not actually receive, take title to, or be liable for the supply or delivery of All-Requirements Power Supply in any manner whatsoever. The Parties specifically agree that the role of the City is to i) set the terms and conditions under which All-Requirements Power Supply will be provided by the Competitive Supplier under this ESA and to ensure that the Competitive Supplier complies with those terms and conditions, and ii) act as agent for Eligible Consumers with respect to the matters addressed in this ESA. Role of the City. The Department of Planning and Development, through the Department’s designated Project Manager, will oversee all aspects of the project including; assembling a City staff project team, evaluating and selecting Consultants and tasks related to the overall project, managing project goals, setting project time lines, reviewing and approving Consultant’s reports or other deliverables, and making payments to the Consultant. The Department’s Project Manager has the final authority in all project related decisions.
Role of the City. Under this ESA, the City shall not actually receive, take title to, or be liable for the supply or delivery of All-Requirements Power Supply in any manner whatsoever. The Parties specifically agree that the role of the City is to set the terms and conditions under which All-Requirements Power Supply will be provided by the Competitive Supplier under this ESA and to ensure that the Competitive Supplier complies with those terms and conditions. It is the obligation of the Competitive Supplier to arrange for delivery of All-Requirements Power Supply to Participating Consumers at the Delivery Point. The Parties agree that City is not a “distribution company”, “electric company”, “generation company” or “transmission company” within the meaning of M.G.L. c. 164, § 1 as a result of this ESA, unless a court, the Department, or other lawful authority shall adjudicate to the contrary; provided, however, that the City may be considered to be operating a municipal load aggregation plan pursuant to M.G.L. c. 164, § 134. The Competitive Supplier hereby agrees that it will take no action that would make the City liable to any Participating Consumer due to any act or failure to act on the part of the Competitive Supplier relating to the delivery or supply of All-Requirements Power Supply.
Role of the City. ‌ (a) The City is the owner of the Works Site and has responsibilities as a local council under the Local Government Xxx 0000 (NSW) in relation to those areas. (b) Subject to clause 2.2(c), RMS acknowledges and agrees that nothing in this Agreement will in any way unlawfully restrict or otherwise unlawfully affect the unfettered discretion of the City to exercise any of its functions and powers pursuant to any law.‌ (c) The parties agree that clause 2.2(b) is not taken to limit any liability which the City would have had to RMS under this Agreement as a result of a breach by the City of a term of this Agreement but for clause 2.2(b).‌
Role of the CityThe CITY shall be and remain owner of the Project, subject to its obligation to convey title as set forth in the accompanying Lease agreement. The CITY shall have such further obligations as are set forth herein. The CITY shall designate a representative authorized to act on The CITY's behalf with respect to the Project.
Role of the City. The libraries in all four cities will make available copies of any relevant reports, studies, or other resources as may be needed for the completion of the project. The cities of Grand Prairie, Kennedale, and Mansfield will provide this information as well as requested.

  • The City Union, and employee may agree to waive the one (1) week notice as long as such waiver is in writing signed by all parties.

  • Responsibilities of the City The City’s Contract Manager will be responsible for exercising general oversight of the Contractor’s activities in completing the Scope of Work. Specifically, the Contract Manager will represent the City’s interests in resolving day-to-day issues that may arise during the term of this Contract, shall participate regularly in conference calls or meetings for status reporting, shall promptly review any written reports submitted by the Contractor, and shall approve all invoices for payment, as appropriate. The City’s Contract Manager shall give the Contractor timely feedback on the acceptability of progress and task reports.

  • OFFICE OF THE COMPANY As long as any of the Warrants remain outstanding, the Company shall maintain an office or agency (which may be the principal executive offices of the Company) where the Warrants may be presented for exercise, registration of transfer, division or combination as provided in this Warrant.

  • TERM AND SCOPE OF THE CIA A. The period of the compliance obligations assumed by Progenity under this CIA shall be five years from the effective date of this CIA. The “Effective Date” shall be the date on which the final signatory of this CIA executes this CIA. Each one-year period, beginning with the one-year period following the Effective Date, shall be referred to as a “Reporting Period.” B.   • Chief Executive Office; Jurisdiction of Organization Seller shall not move its chief executive office from the address referred to in Section 13(a)(17) or change its jurisdiction of organization from the jurisdiction referred to in Section 13(a)(17) unless it shall have provided Buyer 30 days’ prior written notice of such change.
