Functions and Powers. The Joint Development Committee shall have no power to amend, modify or waive compliance with this Agreement. It shall have only such powers as are specifically set forth in this Agreement for the Joint Development Committee to perform. The Joint Development Committee meeting minutes, regardless of whether approved by senior representatives of both Parties, shall not be deemed to amend, modify or waive compliance with this Agreement. The Joint Development Committee’s responsibilities shall include:
(i) during the Collaboration Term, encourage and facilitate ongoing cooperation and information exchange between the Parties concerning the Ongoing Phase I Trial;
(ii) discuss any coordination of activities that the Parties may desire concerning the Ongoing Phase 1 Trial;
(iii) approve any Material Xencor Changes to the Xencor Development Plan (truly immaterial changes do not require JDC approval, however Xencor shall inform MorphoSys promptly of any such changes).
(iv) provide a forum for discussion of the MorphoSys Annual Development Report (without implying any decision-making rights with respect to planned activities contained in such Report);
(v) subject to the other provisions of this Article 2, [...***...],
(vi) discuss any [...***...].
Functions and Powers. The CEO will manage the day to day activities of the ABCB Office, including coordinating the activities of the Board, and carrying out and managing the implementation of Board directives and decisions in accordance with this Agreement.
Functions and Powers. 1. The primary responsibility of the Conference shall be to determine the policy of the Community.
2. The Conference may establish, and designate as such, institutions of the Community in addition to those specified in paragraphs (a) to (g) of Article 10 of this Treaty, as it deems fit for the achievement of the objectives of the Community.
3. The Conference may issue directions of a general or special character as to the policy to be pursued by the Council and the Institutions of the Community for the achievement of the objectives of the Community, and effect shall be given to any such directions.
4. Subject to the relevant provisions of this Treaty, the Conference shall be the final authority for the conclusion of treaties on behalf of the Community and for entering into relationships between the Community and International Organisations and States.
5. The Conference shall take decisions for the purpose of establishing the financial arrangements necessary for meeting the expenses of the Community and shall be the final authority on questions arising in relation to the financial affairs of the Community.
6. The Conference may regulate its own procedure and may decide to admit at its deliberations observers, representatives of non-Member States or other entities.
7. The Conference may consult with entities and other organisations within the region and for this purpose may establish such machinery as it deems necessary.
Functions and Powers. The Supervisors shall exercise the following functions and powers:
(a) examining the financial affairs of the Joint Venture;
(b) supervising the acts of the Directors and Management Personnel when performing their duties for the Joint Venture; requesting for rectification of conduct of any Director or any member of Management Personnel if such conduct have harmed the interests of the Joint Venture; and proposing to dismiss any Director or any member of Management Personnel violating the laws, administrative regulations, this Contract, the Articles of Association or the resolutions of the Board;
(c) attending the meetings of the Board as a non-voting attendee and making inquiries or suggestions to the matters to be resolved by the Board;
(d) proposing convention of interim Board meetings;
(e) making proposals to the Parties;
(f) initiating any legal proceedings against any Directors or Management Personnel as provided under PRC Law; and
(g) other functions and powers as designated by the Parties from time to time.
Functions and Powers. 1. Subject to the relevant provisions of Article 8 of this Treaty, the institutions of the Community shall formulate such policies and perform such functions as are necessary for the achievement of the objectives of the Community within their respective spheres of competence.
2. The institutions of the Community may regulate their own procedure and--
(a) may establish such subsidiary committees, agencies and other bodies as they consider necessary for the efficient performance of their functions; and
(b) may decide to admit at their deliberations observers, representatives of non-Member States or other entities.
Functions and Powers. (a) Subject to the provisions of this Agreement, all the powers of the Agency shall be vested in the General Meeting.
(b) In addition to the other functions and powers set out and conferred upon it by this Agreement, the General Meeting shall have the power to:
(i) admit new Members and, in the case of Members other than African States, determine the conditions of their admission;
(ii) determine the remuneration of the Directors;
(iii) appoint and remove, on the recommendation of the Board of Directors, the Chief Executive Officer and determine his or her remuneration and terms and conditions of service,;
(iv) appoint the external auditors of the Agency and determine their mandate and remuneration;
(v) consider, approve or reject the annual accounts of the Agency;
(vi) subject always to sub-paragraphs 1(b) and (c) of Article 9 of this Agreement, determine and authorize, on the recommendation of the Board of Directors, the allocation and distribution of net income;
(vii) suspend or terminate the operations of the Agency and determine the distribution of the assets of the Agency in the event of dissolution;
(viii) consider and determine any matter which the Board of Directors may refer to it;
(ix) generally provide guidance to the Board of Directors in the discharge of its functions; and
(x) perform such other functions and exercise such other powers as may be incidental or conducive to the discharge of any of the functions or exercise of any of the powers provided under this Agreement.
Functions and Powers. 1.1.3.1 The functions and contact person(s) of relevant department of Party A shall be subject to that announced in the system.
1.1.3.2 Party B confirms that the above Contract information is true and effective, and can serves as an effective way of contact between both Parties during the period of cooperation. Party B hereby authorizes its contact person to receive relevant letters from Party A and handle matters related to the cooperation hereunder on behalf of Party B. The contact person shall have the right to make corresponding commitments to Party A. Party B hereby acknowledges and assumes corresponding responsibilities for all actions, commitments and acknowledgement of the contact person during the term hereof. [***] If Party B intends to change the contact information of Party B or the [***] Intrasystem Accounts of Person in Charge, it shall send a written notice to Party A 15 business days in advance and both Parties shall separately sign a written supplementary Contract thereon. Otherwise, Party A shall have the right to regard the contact information and Intrasystem Accounts of Persons in Charge of Party B as agreed herein as still valid, and Party B shall be solely liable for any consequences and losses arising therefrom.
Functions and Powers. Voting in the Conference
Functions and Powers. 1. The Council shall, in order to ensure the achievement of the objectives set out in this Annex and in accordance with the provisions thereof, be responsible for:
(a) exercising such powers and performing such duties as are conferred or imposed upon it by this Xxxxx;
(b) ensuring the efficient operation and development of the Common Market including the settlement of problems arising out of its functioning;
(c) keeping this Annex under constant review with a view to making proposals to the Conference for the progressive development of the Common Market; .
(d) receiving and considering references alleging breaches of any obligations arising under this Xxxxx and deciding thereon;
(e) considering what further action should be taken by Member States and the Common Market and making proposals to the Conference to facilitate the establishment of closer economic and commercial links with other States, association of States or international organisations.
2. The Council may regulate its own procedure including the establishment of such committees and other bodies as it may deem necessary to perform its functions and may decide to admit to its deliberations observers, representatives of non-Member States or other entities.
Functions and Powers. The principal functions of the Research Committee will include the following: (i) discuss and approve the Research Plan, material changes to the Research Plan, including budgets and schedules, and allocation of responsibilities, (ii) monitor work conducted under the Research Plan, and (iii) attempt to resolve any disputes arising under this Agreement as set forth in Section 12.03. The Research Committee shall have the power to appoint other committees as appropriate. The Research Committee shall endeavor in good faith to make decisions unanimously, failing which the procedures set out in Section 12.03 shall apply.
