Sale and Purchase of Electricity. 2.2.1 The Seller shall deliver and sell the Sold Electricity i.e. the Product(s) defined in Section 2.1 to the Buyer at the Delivery Point under the terms and conditions of this Agreement from the Start Date of Performance during the Term of the Agreement, and the Buyer shall accept and purchase the Sold Electricity i.e. the Product(s) defined in Section 2.1 from the Seller. The Buyer shall pay the Seller the Purchase Price defined in Section 2.1 as consideration for the Sold Electricity under the terms of pricing defined in Section 7.1 and the terms of payment defined in Section 7.2. 2.2.2 The Parties shall compile Schedules in accordance with the provisions of Section 2.2.1. The Buyer shall purchase and accept the electricity under the Schedule approved by MAVIR. The quantity of electricity approved by MAVIR means the electricity off-taken by Buyer at the Delivery Point according to the Schedule, which means, at the same time, the fact that the Electricity Sold by the Seller has been transferred. If the Parties do not agree on any deviation from the Schedule and it is not a consequence of Force Majeure: the Seller shall bear all risks involved in the scheduling and transmission to and delivery at the Delivery Point of the Sold Electricity, and shall be liable for the resulting or ensuing costs and charges and any loss of the Buyer. the Buyer shall bear all risks arisen in connection with the acceptance of the Sold Electricity at and from the Delivery Point, any failure to accept and the transmission thereof, and shall be liable for the resulting or ensuing costs and charges and any loss of the Seller.

Sale and Purchase of Electricity. (a) EnergyAustralia agrees to sell to the Customer, and the Customer agrees to purchase from EnergyAustralia, electricity supplied to the Connection Points, in accordance with the terms of this Contract. (b) In order to sell electricity to the Customer at a Connection Point, EnergyAustralia will: (i) become Financially Responsible for the Connection Point; (ii) pay any Market Charges to the Market Operator; (iii) arrange and pay for Network Services for the Connection Point (unless the Customer makes its own arrangements); and (iv) arrange and pay for Connection Services and Metering Services for the Connection Point (unless the Customer makes its own arrangements). (c) EnergyAustralia will not connect the Customer's Premises to the Network or supply, deliver or convey electricity to a Connection Point. EnergyAustralia will arrange for the relevant Network Operator to provide these Connection Services and Network Services. (d) Network Services may be subject to fluctuations or distortions (in voltage magnitude, voltage waveform or frequency) or interruptions. EnergyAustralia cannot (in its arrangements with Network Operators or otherwise) control the continuity of Network Services or the quality characteristics of electricity supply. (e) If the Customer requires increased security of electricity supply, it should discuss the possible options with EnergyAustralia.
Sale and Purchase of Electricity. (a) AGL will sell to the Customer, and the Customer will purchase from AGL, all electricity which the Customer requires for its Premises from the Commencement Date in accordance with the terms of this Agreement. The Customer must not purchase electricity for the Premises from a third party during the Term without the prior written consent of AGL.
Sale and Purchase of Electricity. Subject to System conditions, the Distributor hereby undertakes to purchase and the Embedded Generator undertakes to sell, with effect from the Effective Date, all such metered electricity as the Embedded Generator will make available (subject to clause 1.1) for export at the Point of Common Coupling at the rates set out in Annexure C, duly adjusted from time to time in accordance with item number 3 thereof. It is recorded that the rates payable to the Embedded Generator shall not exceed the rates as payable to Eskom (Megaflex - Local Authority Rates / > 132kV / 300-600km tariff structure or closest equivalent in the event that the Megaflex rate no longer exists.) The Distributor has the right to monitor the Embedded Generator and measure compliance with all regulatory standards. Where an instance of non-compliance exists, the Embedded Generator shall remedy the non compliance within a reasonable timeframe prior to any further electricity being exported.

The Net Electrical Generation delivered to EGAT shall be measured at the Metering Point using the Primary Metering Equipment. If the Primary Metering Equipment is inaccurate, otherwise defective, or being tested pursuant to Section 2.4, the measurements recorded by the Back-Up Metering Equipment shall be used to measure the Net Electrical Generation. 3.3.2 The Generator shall not deliver any electricity generated by the Facility to any third party during the Term or any extension of the Term made in accordance with this Agreement.
