Sales Tax Exemptions. To the extent any state sales tax exemption is available, Owner shall execute any documents and take any additional actions reasonably requested by Contractor to obtain such exemption.
Sales Tax Exemptions. Tenant and Landlord shall reasonably cooperate with each other to minimize liabilities for federal, state and local sales, use, excise or similar taxes, fees or contributions imposed upon the acquisition, sale, purchase or use of all equipment, materials and other goods incorporated into the Building and all Landlord Improvements, whether paid or payable by a member of the Landlord Group in connection with the construction and completion of such Landlord Improvements (“Sales Taxes”). Landlord shall use commercially reasonable efforts to seek Texas state sales tax exemption as a Qualified Data Center (the “Sales Tax Exemption”) and to provide Tenant with such exemption certificate prior to commencement of construction of the Premises (see xxxxx://xxxxxxxxxxx.xxxxx.xxx/taxes/data-centers/), and Tenant shall reasonably cooperate with Landlord in connection therewith, including promptly executing or delivering all such documents and instruments and taking all further action that Landlord reasonably determines is necessary in order to obtain such exemption. If the Sales Tax Exemptions is not obtained from the applicable taxing authority, for any reason, [***]; and if the Sales Tax Exemption is obtained but not thereafter maintained as a direct result of a default by Tenant under Section 6.9 beyond all applicable notice and cure periods, then Base Rent shall [***]. Nothing in this Section 4.4 shall limit Tenant’s other obligations or liabilities relating to other taxes set forth elsewhere in this Lease.
Sales Tax Exemptions. The City will provide a project exemption certificate to the Company, its contractors and subcontractors to purchase and pay for, exempt from sales tax, certain construction materials to be incorporated into or used up in the Project, pursuant to a Missouri Department of Revenue Project Exemption Certificate, Form 5060. The Company agrees to make, and to cause its contractors and subcontractors to make, such purchases in compliance with the provisions of Section 144.062 of the Revised Statutes of Missouri. Such construction materials may only include tangible personal property and materials that can only be used for the Project and that are actually used up or consumed in constructing the Project. Except as provided in the prior sentences, the acquisition and construction of the Project shall not be exempt from any sales taxes imposed by any governmental authority by virtue of the City’s ownership of the Project, and neither the City nor the Company will request any such exemption. Nothing herein shall limit the Company’s right to any exemption of sales taxes not resulting from the City’s ownership of the Project.

The Owner will cooperate with Developer in connection with Developer seeking any available exemptions from sales and use taxes related to materials incorporated into or that are part of (or used in) the D&C Work, provided that the Owner shall not be obligated to incur any out-of-pocket costs and expenses in connection therewith.

Sales Tax Exemptions. LESCO shall provide Supplier with appropriate sales tax exemption and/or resale exemption certificates. If LESCO fails to provide any such certificates, then Supplier shall add applicable sales tax(es) to the invoices described in Section 6(a)(i) hereof, and the Historical Metric shall be adjusted upward under Schedule E to reflect such sales tax.
