Scope and Collaboration Overview. Subject to the terms and conditions of this Agreement, during the Research Term: (a) Vividion (i) may conduct discovery activities to identify Program Compounds (including related Target Ligands) for Programs, (ii) may nominate Program Compounds from Programs as Development Candidates pursuant to the terms and conditions of this Agreement, and (iii) as to Development Candidates in Programs, may conduct Pre-Exercise Development and (b) Celgene may conduct Development under any CCB Program MTA, if applicable. The activities conducted pursuant to this ARTICLE II, as well as activities conducted pursuant to Development & Commercialization Agreements following Celgene’s exercise of its Opt-In Rights, together, shall be the “Collaboration”.
Scope and Collaboration Overview. Pursuant to this Agreement and as further provided in this Article II, during the Research Term, Amerimmune, at its expense and in collaboration with Histogen, (a) shall conduct the Research Program in the Research Field using commercially reasonable efforts and shall provide regular updates to Histogen at JDC meetings in accordance with Article IV below, together with all material data and information in Amerimmune’s possession relating to Emricasan, and (b) subject to oversight by the JDC and Article III, below, shall be responsible for the research strategy and the conduct of activities under each Research Program. The activities conducted pursuant to this Article II and the activities performed by a Party or the Parties relating to the Research Program, and any Commercialization as permitted and overseen by the JPC or a Strategic Partner pursuant to Strategic Partnership, shall be the “Collaboration”.
Scope and Collaboration Overview. Pursuant to this Agreement and as further provided in this ARTICLE II, during the Research Term, Agios: (a) may conduct discovery activities to identify programs for designation as Research Programs and shall provide regular updates to Celgene at JRC meetings in accordance with ARTICLE IV with respect to its activities pursuant to each Research Program, together with all material data and information in Agios’ possession relating to Program Targets, (b) shall be responsible for the research strategy and the conduct of activities under each Research Program, (c) may nominate Program Compounds from Research Programs as Development Candidates pursuant to the terms and conditions of this Agreement, and (d) as to Development Candidates in Designated Development Programs and Continuation Programs, may conduct Pre-Exercise Phase I Development. The activities conducted pursuant to this ARTICLE II, the activities performed by a Party or the Parties relating to the [**] Program and the [**] Program under the 2010 Agreement before the Effective Date, as well as activities conducted pursuant to Development & Commercialization Agreements following Celgene’s exercise of its Option rights, together, shall be the “Collaboration”.

Confidential treatment has been requested with respect to the omitted portions. Celgene Programs, and offer such Programs to the other Party in accordance with Section 3.1.3, (b) evaluate and offer to the other Party Eligible BD Programs [***] in accordance with Section 2.2.1 and 3.1.5 respectively, and (c) evaluate and discuss BD Technology. The foregoing activities, as well as activities conducted pursuant to the Development & Commercialization Agreements, together, shall be the “Collaboration”.
Scope and Collaboration Overview. Subject to the terms and conditions of this Agreement (including, for clarity, Sections 2.5, 2.11, 12.4 and 15.5), during the Collaboration Term, to the extent that Repare has not already done so, Repare shall (a) in accordance with the Research Plan, on a Pre-Option Campaign-by-Pre-Option Campaign basis, conduct Initial Screening, Hit Confirmation, In Vitro Validation Activities and, as applicable, In Vivo Validation Activities with respect to such Pre-Option Campaign with the goal of identifying Druggable/LDD Targets that have a Synthetic Lethal relationship with the Pre-Option Campaign Lesion(s) that are the subject of such Pre-Option Campaign, (b) conduct Hit Confirmation on Prioritized Overlapping Undruggable Targets and (c) offer BMS the opportunity to obtain rights to (i) Unblinded Targets from the Primary Campaigns and (ii) Unblinded Undruggable Targets.
